AX INSTITUTE AI ACCEPTABLE USE POLICY AND AI GOVERNANCE POLICY

This AI Acceptable Use Policy and AI Governance Policy (“Policy”) governs the access, use, interaction with, deployment of, and participation in AI-enabled systems, AI-supported educational technologies, adaptive learning systems, recommendation systems, analytics systems, AI tutors, automation technologies, educational AI tools, and related technologies made available through AX Institute.

AX Institute is operated by Active Patterns Inc. under the brands AX Institute and AX (“AX Institute”, “AX”, “Institute”, “we”, “our”, or “us”).

This Policy applies to:

· www.axinstitute.online;
· associated websites, applications, educational platforms, learning management systems, enterprise learning systems, AI-enabled educational systems, digital services, and related infrastructure (collectively, the “Platform”);
· educational programs, certifications, subscriptions, enterprise learning services, mentorship programs, workshops, digital educational services, AI-enabled educational services, and related offerings (collectively, the “Services”).

This Policy should be read together with the:

· Privacy Policy;

· Subscription and Membership Policy;
· Refund Policy;
· Accessibility Policy;
· Academic Integrity Policy and Learner Conduct Policy;
· Certificate and Credential Usage Policy;

1. PURPOSE OF THIS POLICY

AX Institute may use AI-enabled systems, adaptive learning technologies, recommendation systems, automated educational systems, analytics systems, AI tutors, educational automation technologies, personalization technologies, and related AI-supported systems to support educational delivery, learner engagement, enterprise learning, operational efficiency, and educational experiences.

This Policy establishes rules, expectations, limitations, responsibilities, governance principles, operational protections, and acceptable use requirements relating to such technologies.

AX Institute recognizes that AI technologies continue to evolve and that responsible governance, educational integrity, operational oversight, transparency, and risk management are important institutional objectives.

AX Institute believes responsible AI usage can support learning, creativity, productivity, analysis, communication, decision support, capability development, organizational transformation, and professional growth when combined with appropriate human judgment, ethical oversight, educational integrity, and responsible governance.

AI systems should support and enhance human capability rather than replace human accountability, professional judgment, ethical reasoning, educational participation, enterprise governance, or responsible decision-making.

 

2. AI-ENABLED SERVICES

AX Institute may provide or utilize AI-enabled systems including, without limitation:

· AI tutors;
· educational assistants;
· recommendation systems;
· adaptive learning systems;
· educational personalization technologies;
· automated educational support systems;
· AI-generated summaries or insights;
· analytics systems;
· enterprise learning analytics;
· AI-enabled communications;
· automated moderation systems;
· workflow automation technologies;
· AI-supported educational experiences;
· AI-enhanced search systems;
· educational optimization technologies.

AI-enabled systems may support educational accessibility, personalized learning experiences, enterprise capability development, executive learning, productivity enhancement, educational exploration, operational support, and professional development activities.

AI-enabled systems may involve internally developed technologies, licensed technologies, third-party providers, integrated systems, or evolving AI technologies.

AX Institute reserves the right to:

· modify;
· replace;
· suspend;
· limit;
· expand;
· discontinue;
· reconfigure;
· evolve;

AI-enabled systems, models, features, providers, technologies, or capabilities at any time.

AX Institute does not guarantee uninterrupted availability, continuity, functionality, compatibility, or accuracy of AI-enabled systems.

 

3. EDUCATIONAL PURPOSES ONLY

AI-enabled systems and Services provided through AX Institute are intended for:

· educational purposes;
· professional development;
· executive education;
· organizational learning;
· informational support;
· educational assistance;
· learning enhancement.

AI-generated content, responses, recommendations, analyses, summaries, insights, or educational outputs are not intended to constitute:

· legal advice;
· medical advice;
· psychological advice;
· financial advice;
· investment advice;
· tax advice;
· regulatory advice;
· compliance advice;
· employment advice;
· professional consulting services;
· professional opinions.

Users remain solely responsible for independently evaluating, validating, verifying, interpreting, and determining the suitability of AI-generated outputs, educational content, recommendations, or guidance.

AI-generated outputs are intended to support educational exploration, professional learning, decision support, productivity enhancement, capability development, and informational assistance and should not replace appropriate human judgment, professional review, enterprise governance, legal review, regulatory analysis, or operational oversight.

Nothing in this Policy or the Services creates fiduciary, advisory, employment, agency, partnership, consulting, professional-client, or legally guaranteed outcome relationships between users and AX Institute.

 

4. AI LIMITATIONS AND ACCURACY

Users acknowledge that AI-enabled systems may:

· generate inaccurate outputs;
· produce incomplete information;
· produce outdated information;
· generate hallucinated content;
· misinterpret prompts or context;
· produce unintended or unpredictable outputs;
· contain errors, omissions, or inconsistencies.

AI-generated outputs should not be relied upon as the sole basis for:

· legal decisions;
· medical decisions;
· financial decisions;
· compliance determinations;
· investment decisions;
· employment decisions;
· safety decisions;
· regulatory determinations;
· operationally critical decisions.

Users remain solely responsible for exercising judgment, professional review, independent analysis, and appropriate human oversight when using AI-generated outputs.

AX Institute makes no warranty regarding:

· accuracy;
· reliability;
· completeness;
· timeliness;
· fitness for purpose;
· uninterrupted operation;
· educational suitability;
· compatibility;
· regulatory suitability;
· business suitability;
· decision-making suitability.

 

5. ACCEPTABLE USE REQUIREMENTS

Users shall use AI-enabled systems responsibly, lawfully, ethically, and in accordance with this Policy.

Users shall not:

· use AI-enabled systems for unlawful purposes;
· generate harmful, abusive, discriminatory, fraudulent, defamatory, or malicious content;
· engage in harassment, intimidation, or harmful conduct;
· attempt to manipulate, exploit, or disrupt AI systems;
· attempt prompt injection attacks or adversarial attacks;
· attempt to bypass safety controls or operational safeguards;
· scrape, extract, copy, harvest, or systematically collect Platform content or AI outputs without authorization;
· use automated extraction technologies without authorization;
· reverse engineer AI systems;
· use AI systems to infringe intellectual property rights;
· use AI systems to generate harmful code, malware, phishing materials, or cyberattack content;
· use AI systems in violation of academic integrity requirements;
· use AI systems for deceptive impersonation;
· upload unlawful, confidential, sensitive, or unauthorized third-party information;
· upload regulated information, enterprise-confidential information, protected health information, financial account information, trade secrets, privileged information, export-controlled information, or sensitive organizational information without appropriate authorization;
· use AI systems to violate privacy, confidentiality, export control, sanctions, or regulatory requirements.

Users remain solely responsible for content, prompts, materials, instructions, inputs, submissions, or information submitted to AI-enabled systems.

 

6. EDUCATIONAL INTEGRITY AND RESPONSIBLE AI USE

Users shall use AI-enabled educational systems in ways consistent with educational integrity, professional ethics, institutional expectations, enterprise requirements, and applicable academic standards.

AX Institute distinguishes between responsible AI-assisted learning and deceptive substitution of educational participation, authorship, competency development, assessment integrity, educational effort, or professional judgment.

Responsible AI-assisted usage may include:

· brainstorming;
· research support;
· editing assistance;
· summarization assistance;
· productivity enhancement;
· coding support;
· educational exploration;
· communication support;
· organizational learning support;
· analytical assistance;

where such use remains consistent with educational objectives, disclosure requirements, assessment requirements, enterprise requirements, and institutional expectations.

AX Institute reserves the right to:

· establish educational integrity rules;
· restrict unauthorized AI-assisted activities;
· monitor AI-related misuse;
· investigate suspected misuse;
· require disclosure of AI-assisted work;
· impose educational integrity requirements;
· revoke credentials or certifications for misconduct;
· suspend or terminate access for misuse or abuse.

Enterprise clients, instructors, mentors, facilitators, or educational programs may impose additional AI usage restrictions or disclosure obligations.

 

7. HUMAN OVERSIGHT AND GOVERNANCE

AX Institute may implement human oversight, moderation, review, monitoring, validation, quality assurance, fraud prevention, educational review, enterprise administration, accreditation review, operational governance, or institutional controls relating to AI-enabled systems.

AX Institute may implement human oversight, educational review, enterprise governance review, moderation activities, operational review, fraud prevention measures, and quality assurance processes designed to support responsible AI governance and institutional accountability.

AI-enabled processing activities may involve:

· human review;
· operational monitoring;
· moderation activities;
· validation procedures;
· educational quality review;
· enterprise administration;
· compliance review;
· cybersecurity monitoring;
· fraud prevention;
· institutional governance oversight.

AX Institute reserves the right to audit, review, restrict, suspend, or investigate AI-related activity where reasonably necessary to:

· protect educational integrity;
· maintain Platform security;
· enforce policies;
· prevent abuse;
· comply with legal obligations;
· protect enterprise systems;
· protect operational infrastructure;
· support accreditation or governance requirements.

 

8. PRIVACY AND AI PROCESSING

AI-enabled systems may process:

· prompts;
· educational interactions;
· learning analytics;
· usage activity;
· engagement data;
· enterprise learning activity;
· support interactions;
· educational submissions;
· system interactions.

Such processing remains subject to the AX Institute Privacy Policy and applicable data governance requirements.

AX Institute does not authorize unauthorized third-party scraping, extraction, or external AI training using Platform content, educational materials, AI outputs, enterprise materials, certifications, or Platform systems.

AX Institute does not use personal information to train public artificial intelligence models without appropriate authorization or lawful basis.

Users remain responsible for exercising caution when submitting prompts, enterprise information, personal information, confidential information, regulated information, or sensitive organizational information into AI-enabled systems.

 

9. INTELLECTUAL PROPERTY AND AI OUTPUTS

All Platform content, educational materials, certifications, systems, AI-enabled technologies, prompts, frameworks, methodologies, educational structures, and related intellectual property remain protected by applicable intellectual property laws and institutional rights.

Users shall not:

· reproduce Platform content without authorization;
· use Platform materials to train external AI models;
· commercially exploit AI outputs in violation of applicable rights;
· create competing educational systems using Platform materials;
· redistribute AI-generated educational content without authorization.

AI-generated outputs may contain limitations, inconsistencies, or content similarities resulting from underlying technologies or model behavior.

AX Institute makes no warranty regarding ownership, exclusivity, originality, non-infringement, or protectability of AI-generated outputs.

Users remain solely responsible for evaluating intellectual property implications, copyright considerations, enterprise restrictions, confidentiality obligations, regulatory obligations, licensing requirements, and legal risks associated with use of AI-generated outputs.

 

10. ENTERPRISE AI GOVERNANCE

Where Services are provided through enterprise, institutional, governmental, organizational, or employer-sponsored arrangements:

· additional AI governance requirements may apply;
· enterprise AI usage controls may apply;
· enterprise reporting or analytics may apply;
· enterprise restrictions may apply;
· enterprise review processes may apply.

AX Institute reserves the right to implement enterprise-specific AI governance controls, operational safeguards, reporting structures, usage restrictions, monitoring systems, or compliance requirements.

Enterprise clients remain responsible for determining the suitability of AI-enabled Services for their organizational, legal, regulatory, operational, or governance requirements.

Enterprise users remain responsible for complying with applicable confidentiality obligations, organizational AI governance requirements, enterprise data governance requirements, cybersecurity requirements, and internal organizational policies.

 

11. SECURITY, MONITORING, AND PLATFORM PROTECTION

AX Institute may implement technical, operational, behavioral, cybersecurity, fraud-detection, monitoring, identity-verification, access-control, logging, analytics, moderation, or integrity-protection measures reasonably necessary to:

· protect AI-enabled systems;
· protect enterprise systems;
· protect Platform integrity;
· protect educational content;
· prevent abuse;
· detect fraud;
· prevent unauthorized extraction;
· protect intellectual property;
· maintain operational continuity;
· enforce institutional policies.

Platform records, logs, analytics, telemetry, monitoring systems, AI system records, enterprise records, operational records, and authentication data may be used for operational, security, governance, compliance, educational integrity, enterprise administration, dispute resolution, or enforcement purposes.

 

12. THIRD-PARTY AI SYSTEMS AND TECHNOLOGIES

AX Institute may utilize third-party AI providers, cloud providers, analytics providers, educational technologies, enterprise systems, or integrated technologies.

AX Institute does not control all third-party technologies or third-party AI systems.

Accordingly:

· AI providers may evolve independently;
· outputs may change over time;
· features may be modified or discontinued;
· availability may vary;
· operational characteristics may change;
· accessibility or compatibility may vary.

AX Institute makes no guarantee regarding uninterrupted operation, compatibility, accessibility, regulatory suitability, or continuous functionality of third-party AI systems.

Users should review applicable third-party policies where appropriate.

 

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, AX Institute, AX, and Active Patterns Inc. shall not be liable for:

· inaccurate AI outputs;
· hallucinated content;
· business decisions;
· enterprise decisions;
· professional reliance;
· regulatory reliance;
· educational reliance;
· operational decisions;
· indirect damages;
· consequential damages;
· lost profits;
· lost opportunities;
· data loss;
· cybersecurity incidents;
· AI system interruptions;
· third-party AI failures;
· educational outcomes;
· enterprise transformation outcomes.

Users remain solely responsible for evaluating, validating, verifying, and determining the appropriateness of AI-generated outputs or educational recommendations.

Maximum aggregate liability relating to AI-enabled Services shall not exceed the amount paid for applicable Services during the preceding twelve (12) months.

Certain jurisdictions may not permit certain limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable law.

 

14. GOVERNING LAW AND DISPUTE RESOLUTION

This Policy shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

To the maximum extent permitted by applicable law, disputes relating to this Policy shall be resolved solely on an individual basis and not through class, collective, representative, coordinated, consolidated, or mass proceedings.

Users expressly waive any right to participate in class actions, collective proceedings, representative proceedings, coordinated proceedings, consolidated proceedings, or mass proceedings to the maximum extent permitted by applicable law.

 

15. CHANGES TO THIS POLICY

AX Institute reserves the right to modify, amend, replace, supplement, discontinue, or update this Policy at any time to reflect:

· technological developments;
· AI developments;
· operational requirements;
· enterprise requirements;
· cybersecurity developments;
· legal developments;
· educational developments;
· evolving governance practices;
· evolving AI capabilities.

Updated versions become effective upon posting unless otherwise required by applicable law.

Continued use of the Platform or Services following updates constitutes acceptance of the revised Policy.

 

16. ASSIGNMENT

This Policy may be assigned, transferred, delegated, subcontracted, novated, or otherwise transferred by AX Institute in connection with mergers, acquisitions, restructurings, financing arrangements, reorganizations, enterprise restructurings, transfers of operations, or transfers of business operations or assets.
