AX INSTITUTE TERMS AND CONDITIONS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Active Patterns Inc., a corporation incorporated under the federal laws of Canada and operating under the brand AX Institute (“AX Institute”, “Institute”, “we”, “our”, or “us”), and any individual or entity accessing the AX Institute website or purchasing or participating in any program, course, certification, designation, mentorship program, workshop, or other service offered by AX Institute (the “User”, “Student”, or “Participant”).
By accessing the website located at www.axinstitute.online (the “Website”), creating an account, enrolling in a program, or purchasing any product or service offered by AX Institute, you acknowledge that you have read, understood, and agree to be bound by these Terms and all related policies referenced herein.
If you do not agree to these Terms, you must not access or use the Website or Services.
1. INSTITUTIONAL STRUCTURE
AX Institute is an independent professional education platform operated by Active Patterns Inc.
AX Institute provides professional development programs including but not limited to:
• online courses
• professional certifications
• professional designations
• executive workshops
• mentorship programs
• research publications
• digital educational resources
• strategic and executive education programs
AX Institute operates as a professional education and executive learning platform and is not a public university unless expressly stated.
Certificates issued by AX Institute represent successful completion of educational programs and do not constitute professional licensure, accreditation, or regulatory authorization unless explicitly stated.
2. SANCTIONS AND EXPORT COMPLIANCE
Users represent and warrant that they are not located in, or ordinarily resident in, any jurisdiction subject to comprehensive international trade sanctions or export restrictions under Canadian, United States, or international law.
Users further represent that they are not listed on any government sanctions list including those maintained by Canadian, United States, or international authorities.
AX Institute reserves the right to refuse service or terminate access where participation would violate applicable export control or sanctions laws.
3. ELIGIBILITY
Users must be at least eighteen (18) years of age, or the age of legal majority in their jurisdiction, in order to purchase or participate in AX Institute programs.
By using the Website or Services, you represent and warrant that:
• you have the legal authority to enter into binding agreements
• your participation does not violate any applicable laws or contractual obligations
4. USER ACCOUNTS
Access to certain programs or services may require the creation of a user account.
Users agree to:
• provide accurate, current, and complete information
• maintain confidentiality of login credentials
• notify AX Institute of any unauthorized use of their account
• accept responsibility for all activities occurring under their account
AX Institute reserves the right to suspend or terminate accounts where violations of these Terms, policies, or applicable laws occur.
5. PURCHASES AND PAYMENT
All pricing displayed on the Website is denominated in United States Dollars (USD) unless otherwise specified.
Payments are processed through secure third-party payment providers.
By purchasing any program, course, certification, mentorship session, or workshop, you authorize AX Institute to charge the applicable fees to your selected payment method.
AX Institute reserves the right to modify pricing, promotional offers, or discounts at any time.

6. INTELLECTUAL PROPERTY AND EDUCATIONAL CONTENT
All educational materials provided through AX Institute, including but not limited to:
• course lectures
• videos and presentations
• program frameworks and methodologies
• research materials
• case studies
• program documentation
• mentorship resources
• workshop materials
(collectively referred to as the “Educational Content”) constitute proprietary intellectual property owned by or licensed to Active Patterns Inc.
Participants are granted a limited, non-exclusive, non-transferable license to access and use Educational Content solely for personal educational purposes.

Participants shall not, directly or indirectly:
• record, copy, reproduce, distribute, publish, transmit, broadcast, or share course materials in any format;
• capture or reproduce course content through screen recording, screen capture, video recording, or other technological means;
• upload course content to any public or private platform including file-sharing services, social media platforms, learning platforms, or AI systems;
• resell, sublicense, or commercially exploit any portion of the Educational Content.
Any unauthorized use, reproduction, or distribution of AX Institute Educational Content constitutes a violation of intellectual property rights and may result in:
• immediate termination of platform access;
• revocation of certificates, credentials, or designations;
• legal action to recover damages and enforce intellectual property rights.
All intellectual property rights remain the exclusive property of AX Institute or its licensors.
7. PROHIBITED USE OF COURSE CONTENT
Participants may not directly or indirectly:
• copy, reproduce, or distribute Educational Content
• record course sessions or mentorship discussions
• capture content through screen recording or screen capture
• upload course materials to file-sharing services, websites, or social media
• sell, sublicense, or commercially exploit Educational Content
• share account access with third parties
Unauthorized reproduction or distribution of AX Institute content may result in:
• immediate termination of platform access
• revocation of certifications or designations
• legal action to enforce intellectual property rights
8. ARTIFICIAL INTELLIGENCE AND AUTOMATED DATA COLLECTION
Participants and users of the AX Institute platform may not use any automated systems, artificial intelligence tools, bots, scripts, data mining software,
or similar technologies to access, collect, extract, reproduce, or analyze Educational Content or platform data. Educational Content may not be used to train, fine-tune, develop, or enhance machine learning models, artificial intelligence systems, large language models or generate derivative AI datasets without the express written permission of AX Institute. Unauthorized scraping, automated extraction, or AI training using AX Institute content is strictly prohibited.
AX Institute reserves the right to block automated access, suspend user accounts, and pursue legal remedies where unauthorized automated access
or AI-related use of platform materials is detected.
9. MENTORSHIP PROGRAMS
Certain programs may include mentorship sessions with instructors, advisors, or subject matter experts.
Mentorship sessions are provided solely for educational and professional development purposes.
Mentors do not provide:
• legal advice
• financial advice
• investment advice
• tax advice
• medical or regulated professional advice
Participants acknowledge that any decisions made based on mentorship discussions remain solely their responsibility.
10. EXECUTIVE WORKSHOPS
AX Institute may offer live or recorded executive workshops.
Workshop schedules, instructors, or content may change at the discretion of the Institute.
AX Institute reserves the right to reschedule, postpone, or cancel workshops where necessary.
Where a workshop is cancelled by AX Institute, participants may be offered a refund or alternative session.
11. CERTIFICATIONS AND DESIGNATIONS
Participants may receive certificates or professional designations upon successful completion of program requirements.
AX Institute reserves the right to withhold, suspend, or revoke certifications or designations where:
• academic misconduct occurs
• program requirements are not satisfied
• fraudulent activity is detected
• policies are violated
• misuse or misrepresentation of credentials occurs
Certificates and designations remain the intellectual property of AX Institute and may be revoked where misuse occurs.
12. USE OF AX INSTITUTE DESIGNATIONS
Participants granted an AX Institute designation may reference the credential in professional biographies, resumes, or professional networking profiles provided the designation is used accurately.
Participants may not:
• misrepresent the scope of certification
• imply accreditation or licensing not granted by AX Institute
• modify or alter certificates or digital badges
Misuse of credentials may result in revocation.
13. ACADEMIC INTEGRITY
Participants must uphold principles of academic honesty and integrity.
Prohibited conduct includes:
• plagiarism
• cheating
• falsification of submissions
• impersonation or identity fraud
• misuse of AI tools in assessments where prohibited
Violations may result in suspension, termination, or revocation of credentials.
14. PROFESSIONAL EDUCATION DISCLAIMER
AX Institute programs are designed for professional development and executive education.
AX Institute does not guarantee:
• employment outcomes
• career advancement
• investment performance
• business success
• financial returns
Participants remain solely responsible for professional and business decisions made based on program content.
15. EMPLOYER AND THIRD-PARTY RELIANCE
AX Institute certificates, designations, and educational credentials confirm that a participant has successfully completed the requirements of a specific educational program offered by AX Institute.
Such credentials are issued solely for educational and professional development purposes.
AX Institute does not represent or guarantee that certificate holders possess specific professional competencies beyond the scope of the completed program.
Employers, organizations, and third parties remain solely responsible for evaluating the qualifications, experience, and capabilities of individuals presenting AX Institute credentials.
AX Institute shall not be liable for any reliance placed on certificates, designations, or program completion by employers, clients, or other third parties.
16. RIGHT TO MODIFY PROGRAMS
AX Institute reserves the right to modify, update, suspend, or discontinue courses, certifications, mentorship programs, workshops, or other services at its discretion.
Where material changes occur, AX Institute will make reasonable efforts to notify affected participants.
17. TERMINATION OF ACCESS
AX Institute reserves the right to suspend or terminate user access where:
• violations of these Terms occur
• intellectual property misuse occurs
• abusive conduct occurs
• fraudulent activity occurs
Termination for policy violations may occur without refund.
18. PLATFORM REPUTATION AND NON-DISPARAGEMENT
Participants agree that they will not knowingly publish or distribute false, misleading, or defamatory statements regarding AX Institute, its programs, instructors, or services.
Nothing in this clause restricts participants from providing honest feedback or participating in legitimate consumer review processes.
However, malicious attempts to damage the reputation of AX Institute through knowingly false claims, fraudulent reviews, or coordinated campaigns may result in termination of platform access and legal action where appropriate.
19. USE OF AX INSTITUTE NAME AND TRADEMARKS
The name “AX Institute”, associated logos, trademarks, program titles, and branding elements are the intellectual property of Active Patterns Inc.
Participants, organizations, or third parties may not:
• imply partnership or affiliation with AX Institute
• use the AX Institute name or logo in marketing materials without permission
• represent AX Institute as endorsing a product, service, or organization
Use of AX Institute credentials must comply with the AX Institute Certificate and Credential Usage Policy.
Unauthorized use of AX Institute trademarks or branding may result in legal action.
20. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, AX Institute and Active Patterns Inc. shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Website or participation in programs.
21. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada, unless otherwise required by applicable law.
22. DISPUTE RESOLUTION
Any dispute, claim, or controversy arising out of or relating to the use of the AX Institute Website, Services, or these Terms shall first be addressed through good-faith negotiations between the parties.
If a dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the arbitration laws applicable in the Province of Ontario, Canada.
Arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties.
The arbitration shall take place in Ontario, Canada, unless otherwise required by applicable law.
The decision of the arbitrator shall be final and binding on the parties.
Nothing in this section prevents AX Institute from seeking injunctive relief or protection of intellectual property rights in a court of competent jurisdiction.
