AX INSTITUTE TERMS AND CONDITIONS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Active Patterns Inc., operating under the brands AX Institute and AX (“AX Institute”, “AX”, “Institute”, “we”, “our”, or “us”), and any individual, organization, enterprise client, governmental entity, educational institution, authorized user, subscriber, purchaser, learner, instructor, mentor, contributor, contractor, enterprise learner, or other entity accessing, browsing, purchasing, enrolling in, subscribing to, licensing, participating in, integrating with, or otherwise using the AX Institute websites, educational systems, enterprise systems, subscriptions, digital products, educational content, AI-enabled systems, certifications, mentorship services, workshops, enterprise-learning environments, applications, APIs, integrations, or related services (collectively, the “Services”).
These Terms govern use of:

all associated websites, applications, portals, learning environments, enterprise systems, educational technologies, digital tools, APIs, operational systems, credential systems, AI-enabled systems, integrations, and digital platforms operated by AX Institute (collectively, the “Platform”);

all educational programs, enterprise-learning arrangements, subscriptions, memberships, certifications, workshops, digital products, enterprise educational services, organizational learning systems, AI-enabled educational tools, and related Services provided through the Platform.
By accessing or using the Platform or Services, creating an account, enrolling in educational activities, subscribing to Services, purchasing educational content, participating in enterprise-learning arrangements, integrating with Platform systems, or otherwise using the Services, you acknowledge and agree that:

you have read and understood these Terms;

you agree to be legally bound by these Terms;

you agree to all policies incorporated herein by reference;

you acknowledge the institutional governance framework established by AX Institute.
If you do not agree to these Terms, you must not access or use the Platform or Services.
Nothing in these Terms creates fiduciary, advisory, employment, agency, outsourcing, university-equivalency, partnership, accreditation, licensing, professional-client, investment-advisory, regulated-professional, or guaranteed-outcome relationships between users and AX Institute.
AX Institute does not guarantee uninterrupted operation, uninterrupted educational delivery, uninterrupted enterprise functionality, uninterrupted credential availability, uninterrupted AI-system operation, uninterrupted operational continuity, uninterrupted cloud availability, or uninterrupted access to Services, Platform systems, integrations, operational technologies, enterprise systems, credential systems, or related infrastructure.
1. INSTITUTIONAL STRUCTURE AND EDUCATIONAL POSITIONING
AX Institute is an independent executive education, continuing education, enterprise learning, organizational capability-development, professional development, and applied-learning platform operated by Active Patterns Inc.
AX Institute may provide:

executive education programs;

continuing education programs;
-
online educational programs;
-
certifications;
-
professional designations;
-
mentorship programs;
-
enterprise-learning programs;
-
workforce-development programs;
-
subscription-based educational services;
-
organizational capability-development programs;
-
workshops and educational events;
-
digital educational products;
-
applied-learning experiences;
-
enterprise educational systems;
-
AI-enabled educational systems;
-
simulations and case-based learning;
-
strategic and leadership-development programs;
-
educational research and publications;
-
enterprise educational technologies.
Unless expressly stated otherwise in writing:

AX Institute is not a public university;
-
AX Institute is not a governmental educational institution;
-
AX Institute is not a statutory degree-granting institution;
-
AX Institute is not a regulated professional licensing authority;
-
AX Institute does not confer regulated professional licenses;
-
AX Institute does not independently guarantee university-equivalent recognition;
-
AX Institute does not independently guarantee transfer-credit recognition;
-
AX Institute does not independently guarantee governmental recognition;
-
AX Institute does not independently guarantee immigration recognition;
-
AX Institute does not independently guarantee employer recognition.
Certificates, credentials, designations, educational recognitions, enterprise educational recognitions, or professional-development recognitions issued by AX Institute represent completion of educational or professional-development requirements established solely by AX Institute unless expressly stated otherwise.
Recognition of educational activities, certifications, designations, enterprise educational achievements, or credentials may vary by jurisdiction, employer, enterprise organization, educational institution, governmental authority, licensing body, regulatory body, or professional association.
AX Institute reserves sole discretion regarding institutional positioning, educational methodologies, enterprise-learning models, credential structures, AI-enabled educational systems, educational governance methodologies, and institutional operating frameworks.

additional operational standards, enterprise governance requirements, Statements of Work, enterprise onboarding documents, subscription structures, or institutional governance documents issued by AX Institute from time to time.
In the event of inconsistency:

separately executed enterprise agreements govern enterprise relationships solely to the extent expressly stated therein;
-
privacy and data-processing matters are governed primarily by the Privacy Policy and applicable enterprise data-processing agreements;
-
subscription, billing, and recurring-payment matters are governed primarily by the Subscription and Membership Policy and Checkout Terms;
-
operational-security and cybersecurity matters are governed primarily by the Acceptable Use Policy and Incident Response Policy;
-
educational credential matters are governed primarily by the Certificate and Credential Usage Policy and Accreditation Policy;
-
these Terms govern generally unless another document expressly states otherwise.
AX Institute reserves sole discretion regarding governance methodologies, institutional operational frameworks, enterprise governance standards, AI-governance methodologies, credential-governance structures, and operational governance architecture.
3. ELIGIBILITY
You must:

be at least eighteen (18) years of age; or
-
possess legal capacity under applicable law in your jurisdiction,
to purchase, enroll in, access, participate in, subscribe to, or otherwise use Services unless expressly permitted otherwise by AX Institute.
By using the Platform or Services, you represent and warrant that:

you possess legal authority to enter binding agreements;

your use of the Services complies with applicable laws;
-
information provided by you is accurate and complete;
-
you possess authority to act on behalf of any organization you represent;
-
your participation does not violate contractual, employment, regulatory, export-control, sanctions, or legal restrictions applicable to you.
AX Institute reserves the right to refuse, suspend, restrict, or terminate access where eligibility concerns, legal concerns, enterprise concerns, sanctions concerns, fraud concerns, cybersecurity concerns, or operational risks arise.
4. INTERNATIONAL ACCESS, EXPORT CONTROLS, AND SANCTIONS
The Platform and Services may be accessed internationally.
Users accessing the Platform outside Canada remain solely responsible for compliance with laws applicable in their jurisdiction.
You represent and warrant that:

you are not located in jurisdictions subject to comprehensive sanctions or export restrictions under applicable Canadian, United States, United Kingdom, European Union, or international laws;

you are not listed on sanctions or restricted-party lists maintained by applicable governmental authorities;
-
your participation does not violate applicable trade restrictions, export-control laws, or sanctions regimes.
AX Institute reserves the right to suspend, restrict, refuse, investigate, terminate, or limit participation where operational, legal, sanctions, export-control, cybersecurity, enterprise-governance, or regulatory concerns arise.
5. USER ACCOUNTS AND ACCESS GOVERNANCE
Certain Services require account creation, enterprise authorization, subscription activation, credential verification, or enterprise onboarding.
You agree to:

provide accurate and current information;

maintain confidentiality of credentials;
-
maintain security of enterprise access credentials;
-
promptly notify AX Institute of unauthorized access or security concerns;
-
accept responsibility for activities occurring under your account;
-
comply with enterprise-access restrictions and credential-governance requirements.
You shall not:

share accounts improperly;
-
facilitate unauthorized multi-user access;
-
impersonate individuals or organizations;
-
create fraudulent or misleading accounts;
-
bypass enterprise licensing restrictions;
-
manipulate credential systems;
-
interfere with Platform security or enterprise systems.
AX Institute reserves sole discretion regarding account-governance methodologies, enterprise-access governance, credential-governance controls, identity-verification methodologies, operational restrictions, monitoring methodologies, and access-enforcement procedures.
6. SUBSCRIPTIONS, PURCHASES, ENTERPRISE ARRANGEMENTS, AND BILLING
Services may be provided through:

subscriptions;

memberships;
-
recurring billing arrangements;
-
one-time purchases;
-
enterprise licensing arrangements;
-
workforce-development arrangements;
-
enterprise-learning agreements;
-
organizational subscriptions;
-
certifications;
-
digital educational products;
-
workshops;
-
mentorship arrangements;
-
enterprise onboarding arrangements.
Pricing, billing, recurring-payment arrangements, enterprise procurement arrangements, and subscription governance remain subject to the applicable Checkout Terms, Subscription and Membership Policy, enterprise agreements, or organizational arrangements.
AX Institute reserves the right to:

modify pricing;
-
revise subscription structures;
-
revise enterprise-learning structures;
-
discontinue offerings;
-
modify enterprise arrangements;
-
bundle or unbundle Services;
-
revise operational methodologies;
-
revise credential structures;
-
revise AI-enabled educational systems;
-
revise enterprise educational models.
Refund eligibility is governed exclusively by the Refund Policy unless otherwise expressly stated in applicable enterprise agreements or applicable law.
7. EDUCATIONAL CONTENT, DIGITAL PRODUCTS, AND INTELLECTUAL PROPERTY
All educational content, enterprise educational systems, digital educational products, AI-enabled educational systems, educational methodologies, learning systems, credential systems, enterprise-learning structures, platform technologies, software, educational frameworks, operational educational systems, branding elements, research materials, simulations, templates, videos, presentations, downloadable resources, enterprise educational architectures, derivative educational formats, and related materials (collectively, “Educational Content”) are owned by or licensed to Active Patterns Inc. and protected under applicable intellectual-property laws.
Educational Content may include content licensed from:

instructors;
-
mentors;
-
contributors;
-
enterprise collaborators;
-
licensors;
-
educational partners;
-
third-party providers.
Users receive solely a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access Educational Content for authorized educational purposes during applicable access periods.
No ownership rights are transferred to users.
AX Institute retains all rights relating to:

curriculum architecture;
-
educational sequencing;
-
enterprise-learning structures;
-
learning-design systems;
-
educational methodologies;
-
enterprise educational systems;
-
derivative educational formats;
-
translated or reformatted versions;
-
AI-assisted educational transformations;
-
microlearning conversions;
-
enterprise educational packaging;
-
operational educational technologies;
-
credential structures;
-
platform architectures.
8. RESTRICTIONS ON CONTENT USE, AI SYSTEMS, AUTOMATION, AND PLATFORM MISUSE
Users shall not, directly or indirectly:

reproduce, distribute, commercialize, transmit, publish, or exploit Educational Content improperly;
-
upload Educational Content to AI systems or third-party learning systems;
-
use Educational Content for AI model training;
-
create machine-learning datasets using Platform materials;
-
vectorize, summarize, scrape, extract, automate, harvest, or replicate Educational Content;
-
deploy bots, crawlers, scripts, scraping systems, automation technologies, or data-mining systems;
-
create competing educational products using AX Institute materials;
-
bypass Platform restrictions;
-
manipulate enterprise systems;
-
interfere with AI-enabled systems;
-
misuse credential systems;
-
facilitate unauthorized enterprise redistribution.
Unauthorized activities may result in:

suspension or termination;
-
credential revocation;
-
enterprise restrictions;
-
technological blocking measures;
-
legal proceedings;
-
injunctive relief;
-
recovery of damages and enforcement costs.
9. MENTORSHIP, EDUCATIONAL GUIDANCE, AND PROFESSIONAL DISCLAIMERS
Educational content, mentorship sessions, workshops, enterprise-learning activities, educational discussions, simulations, AI-enabled educational systems, and related Services are provided solely for educational and professional-development purposes.
Instructors, mentors, facilitators, contributors, and enterprise collaborators are independent contractors and are not authorized to bind AX Institute unless expressly authorized in writing.
Neither AX Institute nor instructors, mentors, or contributors provide:

legal advice;
-
investment advice;
-
tax advice;
-
accounting advice;
-
regulated financial advice;
-
medical advice;
-
psychological advice;
-
regulated professional advice;
-
governmental advice.
Users remain solely responsible for decisions, interpretations, reliance, business activities, organizational actions, professional actions, financial decisions, enterprise implementations, or operational decisions arising from participation in Services.
10. CERTIFICATIONS, DESIGNATIONS, AND EDUCATIONAL RECOGNITIONS
AX Institute may issue certificates, credentials, badges, educational recognitions, professional-development recognitions, enterprise recognitions, or designations subject to:

academic requirements;

assessment requirements;
-
integrity standards;
-
payment obligations;
-
enterprise-governance requirements;
-
policy compliance;
-
credential-governance standards.
AX Institute reserves the right to suspend, revoke, invalidate, restrict, deny, or withhold credentials where:

fraud occurs;
-
academic misconduct occurs;
-
payment disputes arise;
-
enterprise misuse occurs;
-
policies are violated;
-
credential misuse occurs;
-
operational concerns arise.
Credential usage remains governed by the Certificate and Credential Usage Policy and Accreditation Policy.
11. ACADEMIC INTEGRITY AND COMMUNITY CONDUCT
Users must comply with:

academic-integrity requirements;
-
educational-integrity requirements;
-
professional-conduct requirements;
-
enterprise-governance requirements;
-
community-conduct requirements.
Prohibited conduct includes:
-
plagiarism;
-
cheating;
-
impersonation;
-
falsification;
-
credential fraud;
-
AI misuse where prohibited;
-
harassment;
-
discriminatory conduct;
-
disruptive behavior;
-
malicious campaigns;
-
enterprise misuse;
-
unauthorized solicitation.
AX Institute reserves sole discretion regarding integrity determinations, enforcement methodologies, enterprise-governance restrictions, credential-governance actions, operational restrictions, and community moderation practices.
12. RIGHT TO MODIFY SERVICES, PLATFORM SYSTEMS, AND INSTITUTIONAL STRUCTURES
AX Institute reserves the right to:

modify or discontinue Services;
-
revise educational programs;
-
revise credential structures;
-
revise enterprise-learning structures;
-
revise subscription structures;
-
update AI-enabled educational systems;
-
revise Platform technologies;
-
revise operational methodologies;
-
revise institutional governance methodologies;
-
archive or discontinue content;
-
modify instructors or contributors;
-
restructure educational offerings;
-
evolve institutional educational frameworks.
AX Institute does not guarantee continued availability of any specific:
-
course;
-
instructor;
-
mentor;
-
workshop;
-
credential;
-
subscription feature;
-
enterprise educational system;
-
AI-enabled system;
-
platform functionality.
13. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Platform, Services, Educational Content, enterprise educational systems, AI-enabled systems, credential systems, enterprise-learning environments, and related technologies are provided on an “as is” and “as available” basis.
AX Institute disclaims all warranties including:

merchantability;
-
fitness for a particular purpose;
-
uninterrupted access;
-
compatibility;
-
educational outcomes;
-
professional outcomes;
-
business outcomes;
-
employment outcomes;
-
enterprise outcomes;
-
AI-system continuity;
-
enterprise-system continuity;
-
credential-system continuity;
-
non-infringement;
-
operational continuity.
Operational interruptions, AI-system interruptions, cybersecurity incidents, third-party outages, infrastructure disruptions, enterprise disruptions, cloud-provider failures, and educational interruptions may occur.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Active Patterns Inc., AX Institute, affiliates, officers, directors, employees, instructors, mentors, contractors, licensors, enterprise collaborators, operational providers, cloud providers, AI providers, and partners shall not be liable for:

indirect damages;
-
consequential damages;
-
reputational harm;
-
lost profits;
-
lost business opportunities;
-
enterprise disruptions;
-
educational reliance;
-
AI-generated inaccuracies;
-
cybersecurity incidents;
-
credential restrictions;
-
enterprise restrictions;
-
operational interruptions;
-
cloud-provider failures;
-
subscription interruptions;
-
third-party system failures;
-
data loss.
Maximum aggregate liability arising from use of the Platform or Services shall not exceed the lesser of:
(a) amounts paid by the applicable user during the preceding twelve (12) months; or
(b) CAD $500.
Certain jurisdictions may not permit certain limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable law.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Active Patterns Inc., AX Institute, affiliates, officers, directors, employees, instructors, mentors, contractors, licensors, enterprise collaborators, operational providers, and partners from claims, liabilities, damages, losses, expenses, enforcement costs, and legal fees arising from:

violation of these Terms;

misuse of the Platform or Services;
-
infringement of intellectual-property rights;
-
unlawful conduct;
-
policy violations;
-
enterprise misuse;
-
credential misuse;
-
AI misuse;
-
unauthorized automation;
-
unauthorized use of Educational Content.
16. TERMINATION, SUSPENSION, AND OPERATIONAL RESTRICTIONS
AX Institute reserves the right to suspend, restrict, terminate, investigate, limit, revoke, or modify access to Services, enterprise systems, subscriptions, enterprise-learning arrangements, credentials, AI-enabled systems, or Platform functionality where:

Terms or policies are violated;
-
intellectual-property misuse occurs;
-
payment disputes arise;
-
enterprise misuse occurs;
-
cybersecurity concerns arise;
-
fraud concerns arise;
-
legal concerns arise;
-
sanctions concerns arise;
-
operational risks arise.
Termination or suspension may occur without refund where permitted by applicable law.
Termination does not limit AX Institute’s right to pursue legal remedies, operational protections, enterprise protections, intellectual-property protections, credential-governance actions, or cybersecurity remedies.
17. FORCE MAJEURE
AX Institute shall not be liable for delays, interruptions, disruptions, or failures resulting from causes beyond reasonable control including:

cyberattacks;
-
internet outages;
-
governmental actions;
-
labor disputes;
-
pandemics;
-
natural disasters;
-
cloud-provider failures;
-
telecommunications failures;
-
AI-provider outages;
-
infrastructure disruptions;
-
enterprise-system disruptions;
-
operational interruptions;
-
utility failures;
-
third-party technology failures.
18. ELECTRONIC COMMUNICATIONS AND DIGITAL CONSENT
By using the Platform or Services, you consent to receive electronic communications relating to:

transactions;
-
subscriptions;
-
educational services;
-
enterprise-learning arrangements;
-
operational governance;
-
credential administration;
-
policy updates;
-
enterprise administration;
-
legally required notices;
-
marketing communications where permitted by applicable law.
You acknowledge that electronic agreements, operational records, authentication systems, acceptance logs, enterprise records, electronic signatures, and digital acknowledgements satisfy legal requirements for written agreements and signatures.
19. DISPUTE RESOLUTION
The parties shall first attempt to resolve disputes through good-faith negotiations.
Disputes not resolved through good-faith negotiations may be submitted to binding arbitration in Ontario, Canada under the Arbitration Act, 1991 (Ontario).
Nothing restricts AX Institute from seeking:

injunctive relief;
-
equitable relief;
-
intellectual-property enforcement;
-
operational protections;
-
cybersecurity remedies;
-
enterprise protections;
-
emergency judicial remedies.
To the maximum extent permitted by applicable law, disputes shall be resolved solely on an individual basis and not through class, collective, representative, coordinated, consolidated, or mass proceedings.
20. GOVERNING LAW
These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
21. GENERAL PROVISIONS
Entire Agreement
These Terms and incorporated governance documents constitute the entire agreement relating to access to and use of the Platform and Services.
Severability
If any provision is held unenforceable, remaining provisions remain in full force and effect.
Waiver
Failure to enforce any provision does not constitute waiver.
Assignment
Users may not assign rights or obligations without written consent.
AX Institute may assign, transfer, delegate, subcontract, novate, or otherwise transfer these Terms or related rights in connection with mergers, acquisitions, restructurings, financing arrangements, reorganizations, enterprise restructurings, or transfers of business operations or assets.
Survival
Provisions relating to:

confidentiality;
-
indemnification;

operational governance;

cybersecurity;

dispute resolution;

limitation of liability;

22. CHANGES TO THESE TERMS
AX Institute reserves the right to modify, amend, replace, supplement, discontinue, or update these Terms at any time to reflect:

AI developments;
-
technological developments;
-
operational governance developments;
-
cybersecurity developments;
-
credential-governance developments;
-
institutional governance developments.
Updated versions become effective upon posting unless otherwise required by applicable law.
Continued use of the Platform or Services following updates constitutes acceptance of revised Terms.
