AX INSTITUTE SUBSCRIPTION AND MEMBERSHIP POLICY
This Subscription and Membership Policy (“Policy”) governs subscription-based access to educational services, digital content, memberships, certifications, enterprise learning services, and related offerings provided through the AX Institute platform located at www.axinstitute.online together with all related websites, applications, learning management systems, subscription systems, certification systems, enterprise learning environments, digital educational services, communication systems, software interfaces, community environments, online platforms, and related technological or educational infrastructure operated, controlled, licensed, or made available by Active Patterns Inc. operating under the brands AX Institute and AX (“AX Institute”, “AX”, “Institute”, “Company”, “we”, “our”, or “us”).
This Policy forms part of and is incorporated into the AX Institute Website Terms of Use, Checkout Terms and Conditions, Privacy Policy, Refund Policy, and all other applicable AX Institute governance documents, policies, procedures, operational standards, and institutional requirements.
This Policy applies to all individuals, organizations, learners, subscribers, enterprise customers, certification participants, mentors, instructors, purchasers, administrators, affiliates, and entities purchasing, activating, accessing, or utilizing subscription-based services through the Platform (“Users”).
By purchasing, activating, renewing, accessing, or using a subscription or membership, Users acknowledge and agree that they have read, understood, and agreed to be legally bound by this Policy.
Electronic acceptance, electronic authorizations, recurring billing authorizations, electronic signatures, electronic records, and electronic communications shall have legal effect to the maximum extent permitted under applicable law.
1. SUBSCRIPTION SERVICES
AX Institute may offer subscription-based access to educational products and services including without limitation:
· online courses;
· short-form learning programs;
· executive education content;
· professional development materials;
· certification preparation programs;
· digital educational products;
· live or recorded workshops;
· mentorship services;
· enterprise learning content;
· digital resources and templates;
· research materials;
· AI-enabled educational tools;
· community access;
· member-exclusive content;
· downloadable materials;
· educational frameworks;
· learning pathways;
· subscription-only educational offerings.
Certain educational offerings may be accessible exclusively through active subscriptions, while other certifications, designations, specializations, assessments, mentorship programs, executive programs, or premium educational offerings may require separate enrollment, separate payment, or separate eligibility requirements.
Subscription features, pricing, access rights, eligibility requirements, usage limitations, availability, and included services may vary by subscription tier, enterprise agreement, promotional structure, geographic jurisdiction, operational model, or educational category.
AX Institute reserves sole and absolute discretion to:
· modify;
· replace;
· expand;
· limit;
· repackage;
· restructure;
· migrate;
· commercialize;
· bundle;
· unbundle;
· discontinue;
subscription features, educational offerings, certifications, learning pathways, membership structures, enterprise programs, instructors, mentors, AI-enabled systems, platform technologies, or related services at any time.
Nothing in this Policy obligates AX Institute to maintain any specific course, instructor, certification, feature, technology, subscription structure, educational offering, specialization program, or learning pathway for any minimum duration.
2. SUBSCRIPTION PLANS
Subscription plans may include:
· monthly memberships;
· annual memberships;
· enterprise or organizational subscriptions;
· promotional or discounted subscriptions;
· bundled educational access plans;
· certification access plans;
· limited-access memberships;
· trial memberships;
· cohort-based subscriptions;
· mentor-supported subscriptions;
· future subscription models introduced by AX Institute.
Specific subscription features, usage rights, eligibility requirements, limitations, restrictions, and included services shall be described at the time of purchase or activation.
Certain certification programs may be included within eligible subscription plans while also remaining available for separate standalone purchase. Specialization programs, designation pathways, executive programs, mentorship programs, enterprise programs, or premium educational offerings may be excluded from subscription access unless expressly stated otherwise by AX Institute.
Unless expressly stated otherwise in writing:
· subscriptions grant only a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access eligible educational content during the active subscription period;
· subscriptions constitute access licenses and not transfers of ownership;
· educational content, certifications, downloadable materials, and digital products are licensed and not sold;
· expiration, cancellation, suspension, termination, or discontinuation of subscriptions may result in loss of access to subscription content and associated features.
Purchase of a subscription does not transfer ownership of intellectual property, educational materials, certifications, downloadable resources, platform systems, learner data, or institutional materials.
Downloaded or accessed materials remain subject to applicable intellectual property, licensing, access, and usage restrictions notwithstanding local storage, temporary download, or offline access functionality.
3. AUTOMATIC RENEWAL AUTHORIZATION
By purchasing or activating a recurring subscription, Users expressly authorize AX Institute and its third-party payment processors to automatically charge the designated payment method at the recurring billing interval selected during purchase unless cancelled in accordance with this Policy.
Subscriptions automatically renew:
· monthly for monthly plans;
· annually for annual plans;
· at other recurring intervals specified during purchase.
Users acknowledge and agree that:
· recurring charges may continue until cancellation;
· subscription fees may increase in accordance with this Policy;
· taxes, foreign transaction fees, currency conversion fees, processing fees, or banking fees may apply;
· payment methods may be charged without additional authorization for each renewal transaction unless otherwise required by applicable law;
· recurring billing authorization remains valid until cancelled.
Where required by applicable law, AX Institute may provide renewal reminders, renewal notices, billing disclosures, or renewal confirmations.
Users remain solely responsible for:
· maintaining accurate billing information;
· maintaining valid payment methods;
· monitoring renewal dates;
· managing subscription cancellations prior to renewal dates.
4. FREE TRIALS AND PROMOTIONAL OFFERS
AX Institute may offer free trials, promotional access periods, discounted memberships, introductory pricing, or limited-access promotional programs.
Unless otherwise expressly disclosed:
· free trials automatically convert into paid subscriptions at the end of the applicable trial period;
· recurring billing begins immediately following expiration of the trial period;
· Users may cancel prior to expiration of the trial period to avoid recurring charges.
AX Institute reserves sole discretion to:
· determine eligibility for promotions or free trials;
· modify or terminate promotional programs;
· restrict repeated promotional participation;
· revoke promotional access;
· suspend accounts associated with abuse, fraud, chargebacks, credential sharing, or promotional misuse.
Promotional offers may be limited by jurisdiction, eligibility criteria, operational requirements, or enterprise arrangements.
5. SUBSCRIPTION FEES, BILLING, AND PAYMENT PROCESSING
All pricing is listed in United States Dollars (USD) unless otherwise expressly stated.
Pricing, taxes, fees, and other applicable charges may vary based on applicable laws, regulations, jurisdictions, payment methods, currency conversions, promotional offers, subscription plans, or other factors. Unless otherwise expressly stated, the amount displayed at checkout represents the final amount payable at the time of purchase.
Users remain responsible for any applicable taxes, foreign transaction fees, banking fees, payment processor fees, currency conversion fees, governmental charges, or other amounts imposed by financial institutions, payment providers, governmental authorities, or applicable laws.
AX Institute reserves sole discretion to:
· modify subscription pricing;
· introduce new membership tiers;
· modify included features or benefits;
· discontinue pricing structures;
· change billing intervals;
· modify enterprise pricing structures;
· modify packaging structures;
· introduce AI-enabled services or premium features.
Where legally required, advance notice of material pricing changes shall be provided prior to renewal.
Continued use of subscriptions following renewal constitutes acceptance of updated pricing.
AX Institute may utilize third-party payment processors and shall not be responsible for:
· payment processor interruptions;
· banking interruptions;
· payment gateway failures;
· financial institution restrictions;
· processor errors;
· third-party billing failures.
6. FAILED PAYMENTS, COLLECTIONS, AND CHARGEBACKS
If payment authorization fails, payment disputes arise, chargebacks occur, or payment methods become invalid, AX Institute may:
· retry payment processing;
· suspend subscription access;
· downgrade account functionality;
· revoke subscription-based access rights;
· terminate subscriptions;
· revoke premium access;
· deny future purchases;
· restrict Platform functionality;
· refer outstanding balances for collection where permitted by applicable law.
Users shall not improperly dispute valid charges, initiate fraudulent chargebacks, or attempt to circumvent payment obligations.
AX Institute reserves the right to contest chargebacks, preserve transaction records, preserve system logs, cooperate with payment processors, financial institutions, legal authorities, or fraud prevention providers, and recover outstanding amounts where permitted by applicable law.
7. CANCELLATION
Users may cancel subscriptions at any time through account settings or by contacting AX Institute support.
Unless otherwise required by applicable law:
· cancellation prevents future renewal charges only;
· cancellation does not retroactively reverse charges already processed;
· subscriptions remain active until the end of the applicable billing period;
· partial billing periods are non-refundable;
· unused subscription periods are non-refundable;
· failure to use subscriptions does not entitle Users to refunds.
Users remain responsible for all charges incurred prior to cancellation.
Cancellation of subscriptions may result in immediate or eventual loss of access to:
· subscription-only content;
· enterprise systems;
· subscription-based certification access;
· downloadable materials;
· AI-enabled tools;
· community features;
· mentorship services;
· educational records where permitted by applicable law.
Issued certificates, badges, designations, or credentials validly earned prior to cancellation shall remain subject to applicable institutional governance requirements, verification requirements, integrity requirements, revocation rights, and credential usage policies.
8. REFUNDS
Refund eligibility remains governed by the applicable AX Institute Refund Policy and any additional subscription, enterprise, promotional, or program-specific terms communicated by AX Institute from time to time.
Unless otherwise expressly stated in writing:
· recurring subscription charges are non-refundable once processed;
· partial-use refunds are not provided;
· unused subscription periods are non-refundable;
· failure to utilize subscription access does not entitle Users to refunds;
· dissatisfaction with educational outcomes does not entitle Users to refunds;
· temporary interruptions, feature limitations, AI-system limitations, maintenance events, third-party service disruptions, or localized access issues do not automatically entitle Users to refunds.
Standalone certificate purchases, specialization purchases, executive programs, mentorship programs, assessments, designation pathways, or premium educational offerings may be subject to separate refund eligibility requirements, completion restrictions, access limitations, program-specific refund terms, or separate enrollment conditions communicated at the time of purchase.
Temporary interruptions, maintenance events, cybersecurity incidents, infrastructure disruptions, cloud-provider outages, AI-system limitations, third-party service disruptions, localized access disruptions, enterprise restrictions, operational degradations, or partial unavailability may occur from time to time.
Minor, temporary, intermittent, scheduled, localized, or partial interruptions shall not constitute material failure of the Services.
Any refunds, credits, service accommodations, promotional adjustments, or remedies relating to temporary service interruptions or partial unavailability shall be determined by AX Institute in its reasonable discretion and may be provided on a prorated basis reflecting the affected portion of the applicable subscription term.
AX Institute reserves sole discretion to issue refunds, credits, promotional adjustments, service accommodations, or account remedies on a case-by-case basis without creating ongoing obligations, waivers, continuing entitlements, or precedents.
9. ACCOUNT SHARING, LICENSING, AND ACCESS ABUSE
Subscriptions are licensed solely to the registered User or authorized organization.
Users shall not:
· share login credentials;
· permit unauthorized third-party access;
· distribute subscription content externally;
· circumvent Platform access restrictions;
· resell subscriptions;
· exploit subscriptions commercially without authorization;
· utilize subscriptions beyond authorized seat limitations;
· engage in credential sharing;
· utilize automated methods to access subscription content.
Enterprise or organizational subscriptions may only be used in accordance with separately agreed enterprise licensing terms.
Violation of this section may result in:
· suspension;
· termination;
· certification revocation;
· enterprise restrictions;
· additional licensing fees;
· legal proceedings;
· enforcement actions.
10. CONTENT AVAILABILITY AND PLATFORM EVOLUTION
AX Institute does not guarantee that any specific:
· course;
· instructor;
· mentor;
· certification;
· designation;
· workshop;
· mentorship service;
· downloadable material;
· AI-enabled tool;
· subscription feature;
· educational program;
· community feature;
· enterprise service;
· technology feature;
shall remain continuously available.
AX Institute does not guarantee continued participation, availability, engagement, or involvement of any specific instructor, mentor, expert, contributor, or enterprise participant.
AX Institute does not guarantee any minimum quantity of courses, workshops, certifications, mentorship activities, downloadable resources, AI-enabled tools, enterprise offerings, or educational content during any subscription period.
Educational offerings and Platform systems may be:
· updated;
· modified;
· archived;
· replaced;
· discontinued;
· migrated;
· restructured;
· repackaged;
· converted into alternative formats;
· integrated into new subscription structures;
· integrated into enterprise programs;
· integrated into AI-enabled systems.
AI-enabled tools, recommendation systems, adaptive learning systems, automated educational technologies, or related AI-enabled features may be modified, suspended, limited, replaced, or discontinued at any time without liability.
Subscription access grants temporary access rights only during the active subscription period and does not guarantee perpetual access unless expressly stated otherwise in writing.
Separate standalone purchases, certifications, specializations, or premium educational offerings may remain subject to separate access durations, licensing limitations, operational restrictions, credential governance requirements, or educational access conditions communicated at the time of purchase.
AX Institute reserves the right to evolve Platform architecture, subscription structures, delivery methods, AI-enabled systems, educational technologies, learner pathways, certification structures, and operational models at any time.
11. CERTIFICATIONS, DESIGNATIONS, AND SUBSCRIPTION ACCESS
Certain certifications, designations, assessments, mentorship services, executive programs, enterprise programs, or premium educational offerings may:
· require separate enrollment;
· require additional payment;
· require separate eligibility criteria;
· be excluded from subscriptions;
· be subject to separate governance requirements.
Certain certification programs may be accessible through eligible subscription plans while also remaining available for separate standalone purchase by individual learners, organizations, or enterprise customers.
Specialization programs, designation pathways, executive programs, premium certifications, advanced learning pathways, mentorship programs, or enterprise capability programs may require separate enrollment, separate payment, or separate eligibility requirements and may not be included within subscription plans unless expressly stated otherwise.
Subscription access does not guarantee issuance of any certificate, designation, credential, accreditation, professional recognition, regulatory recognition, academic credit recognition, employment outcome, or professional advancement.
Credential issuance remains subject to:
· academic requirements;
· assessment requirements;
· completion requirements;
· integrity requirements;
· operational requirements;
· institutional governance requirements.
AX Institute reserves sole discretion regarding:
· credential eligibility;
· assessment requirements;
· subscription inclusion criteria;
· specialization access eligibility;
· designation requirements;
· educational progression requirements;
· credential verification requirements;
· badge issuance requirements;
· educational access structures.
12. ENTERPRISE AND ORGANIZATIONAL SUBSCRIPTIONS
AX Institute may offer enterprise, institutional, organizational, or team-based subscriptions.
Additional enterprise terms may apply including:
· seat limitations;
· administrator permissions;
· reporting limitations;
· learner data permissions;
· organizational billing arrangements;
· internal usage restrictions;
· enterprise governance controls;
· access administration rights.
AX Institute reserves sole discretion regarding:
· enterprise seat allocation;
· organizational access structures;
· enterprise reporting availability;
· enterprise learner administration;
· enterprise subscription packaging;
· enterprise pricing structures.
AX Institute reserves the right to suspend enterprise access where unauthorized use, excessive credential sharing, security risks, or operational misuse occur.
13. PLATFORM MODIFICATIONS
AX Institute reserves the right to:
· modify the Platform;
· introduce or remove features;
· modify membership structures;
· discontinue Programs;
· update technical requirements;
· migrate systems;
· introduce AI-enabled technologies;
· modify educational delivery methods;
· modify subscription architectures;
· modify community structures;
· replace technology providers.
Temporary interruptions, maintenance windows, outages, cybersecurity incidents, upgrades, service migrations, or system modifications may occur.
AX Institute shall not be liable for interruptions, downtime, temporary loss of access, content changes, technological migrations, or operational modifications.
14. TERMINATION OR SUSPENSION
AX Institute reserves the right to suspend, restrict, revoke, terminate, or limit subscriptions, memberships, certifications, enterprise access, accounts, or Platform functionality where:
· Terms or policies are violated;
· payment disputes occur;
· fraudulent activity is suspected;
· intellectual property misuse occurs;
· platform abuse occurs;
· cybersecurity risks arise;
· unauthorized automation occurs;
· reputational harm or unlawful conduct occurs;
· operational integrity requires intervention.
Termination or suspension may occur without refund where permitted by applicable law.
AX Institute may implement technical, operational, behavioral, access-control, identity-verification, fraud-detection, or cybersecurity measures reasonably necessary to protect Platform integrity, enterprise systems, subscriptions, learner information, certifications, or institutional operations.
AX Institute reserves all rights and remedies available under law, equity, contract, and institutional policy.
15. NO GUARANTEES
AX Institute subscriptions provide access to educational and professional development services only.
Nothing in the Platform, subscriptions, mentorship activities, certifications, enterprise relationships, or educational services creates fiduciary, advisory, employment, agency, partnership, or professional-client relationships between Users and AX Institute.
AX Institute does not guarantee:
· employment outcomes;
· business success;
· revenue generation;
· professional licensing;
· academic credit recognition;
· regulatory approval;
· career advancement;
· investment returns;
· organizational transformation outcomes;
· certification issuance;
· enterprise performance improvements.
Educational outcomes depend on individual effort, background, experience, organizational factors, market conditions, regulatory considerations, and external circumstances beyond AX Institute’s control.
16. INTERNATIONAL USERS
AX Institute services may be accessed internationally.
Users accessing the Platform outside Canada remain solely responsible for compliance with laws applicable within their jurisdictions.
Certain services, subscriptions, certifications, AI-enabled features, enterprise offerings, or Platform functionality may not be available in all jurisdictions.
Users represent and warrant that they are not located in jurisdictions subject to comprehensive sanctions and are not prohibited from receiving services under applicable Canadian, United States, or international laws.
AX Institute reserves the right to restrict access in jurisdictions presenting legal, sanctions, cybersecurity, operational, commercial, or regulatory risk.
17. GOVERNING LAW AND DISPUTE RESOLUTION
This Policy shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Disputes shall first be addressed through good-faith negotiations.
Where unresolved, disputes may be submitted to binding arbitration seated in Ontario, Canada except where injunctive relief, intellectual property enforcement, collections, cybersecurity protection, or emergency remedies are reasonably required.
To the maximum extent permitted by applicable law, disputes shall be resolved solely on an individual basis and not through class, consolidated, collective, representative, coordinated, or mass arbitration proceedings.
Users expressly waive any right to participate in class actions, coordinated proceedings, consolidated proceedings, representative proceedings, collective proceedings, or mass arbitration proceedings to the maximum extent permitted by applicable law.
18. SURVIVAL
Provisions relating to:
· payment obligations;
· intellectual property;
· subscription restrictions;
· AI restrictions;
· disclaimers;
· limitations of liability;
· indemnification;
· enterprise protections;
· enforcement rights;
· dispute resolution;
· operational protections;
shall survive cancellation, suspension, termination, expiration, discontinuation of subscriptions, or discontinuation of the Platform.
19. SEVERABILITY
If any provision of this Policy is determined by a court, arbitrator, tribunal, or competent authority to be unlawful, invalid, unenforceable, or inapplicable, such provision shall be interpreted and enforced to the maximum extent permissible under applicable law, and the remaining provisions shall remain in full force and effect.
20. ENTIRE AGREEMENT
This Policy together with the AX Institute Website Terms of Use, Checkout Terms and Conditions, Refund Policy, Privacy Policy, Cookie Policy, Credential Usage Policy, and all applicable AX Institute governance documents constitute the entire agreement relating to subscription and membership services and supersede prior or contemporaneous communications, representations, marketing materials, discussions, or understandings relating thereto.
21. NO WAIVER
Failure by AX Institute to exercise or enforce any right, remedy, protection, restriction, or enforcement mechanism under this Policy shall not constitute a waiver thereof.
Any waiver shall be effective only if expressly made in writing by an authorized representative of AX Institute.
22. ASSIGNMENT
AX Institute may assign, transfer, delegate, subcontract, novate, or otherwise transfer this Policy together with associated subscriptions, enterprise relationships, operational responsibilities, institutional assets, or related rights without restriction.
Users may not assign or transfer rights or obligations under this Policy without prior written authorization from AX Institute.
23. INTERPRETATION
Section headings are included solely for convenience and shall not affect interpretation of this Policy.
24. CHANGES TO THIS POLICY
AX Institute reserves the right to modify, amend, replace, supplement, discontinue, or update this Policy at any time.
Updated versions become effective upon posting to the Platform unless otherwise required by applicable law.
Continued use of subscriptions or memberships following publication of updated versions constitutes acceptance of the revised Policy.
