AX INSTITUTE REFUND POLICY

This Refund Policy (“Policy”) governs purchases, subscriptions, enrollments, memberships, mentorship services, executive workshops, certifications, specialization programs, digital products, enterprise learning services, downloadable materials, AI-enabled educational services, and educational offerings provided through the AX Institute platform located at www.axinstitute.online (the “Platform”).

The Platform is operated by Active Patterns Inc., operating under the brands AX Institute and AX (“AX Institute”, “AX”, “Institute”, “we”, “our”, or “us”).

This Policy forms part of the AX Institute legal framework and should be read together with the:

· AX Institute Website Terms of Use;
· Subscription and Membership Policy;
· Checkout Terms and Conditions;
· Privacy Policy;
· Cookie Policy;
· AI Acceptable Use Policy and AI Governance Policy;
· applicable Terms and Conditions.

By purchasing, enrolling in, subscribing to, accessing, or using Services through the Platform, users acknowledge and agree to this Policy.

Nothing in this Policy creates fiduciary, advisory, employment, agency, partnership, or professional-client relationships between users and AX Institute.

AX Institute does not guarantee uninterrupted availability of the Platform, Services, educational technologies, AI-enabled systems, enterprise systems, integrations, or related infrastructure.

AX Institute educational Services are designed to support applied learning, professional development, workforce capability growth, leadership development, organizational capability enhancement, executive education, and organizational learning.

 

1. GENERAL REFUND PRINCIPLES

AX Institute primarily provides:

· digital educational content;
· online learning services;
· executive education;
· workforce capability development;
· leadership development programs;
· organizational capability development;
· AI capability enablement initiatives;
· applied professional development;
· mentorship services;
· certifications;
· specialization programs;
· subscription-based educational access;
· enterprise learning services;
· workshops and live sessions;
· downloadable educational materials;
· AI-enabled educational services;
· educational frameworks and tools.

Due to the nature of digital educational services, immediate content access, downloadable materials, subscription activation, enterprise provisioning, educational consumption, workshop scheduling, mentorship coordination, and AI-enabled educational access, refunds are limited and subject to the conditions set forth in this Policy.

AX Institute reserves the right to deny refunds where purchases, subscriptions, certifications, specialization programs, educational services, enterprise services, or digital products have been substantially consumed, accessed, downloaded, activated, provisioned, completed, streamed, utilized, scheduled, coordinated, or otherwise materially delivered.

Digital educational services are generally considered partially or materially delivered once access credentials, subscriptions, downloadable materials, educational content, enterprise systems, AI-enabled tools, mentorship scheduling, workshop access, or related Services become accessible.

Educational content and Services are licensed, not sold.

Purchases do not transfer ownership rights in educational materials, certifications, subscriptions, downloadable resources, AI-enabled educational systems, enterprise systems, Platform technologies, or educational intellectual property.

 

2. CURRENCY AND PAYMENT PROCESSING

Unless otherwise expressly stated:

· pricing is displayed and charged in United States Dollars (USD);
· refunds are generally issued in the original transaction currency.

Users acknowledge that:

· currency exchange rates may fluctuate;
· financial institutions may apply different exchange rates;
· payment processors may impose transaction, conversion, processing, or administrative fees.

AX Institute is not responsible for:

· foreign exchange gains or losses;
· conversion fees;
· banking fees;
· payment processor fees;
· intermediary processing fees;
· international transaction fees;
· currency fluctuations.

Refund timing may depend on payment processors, banking institutions, card issuers, or financial institutions.

 

3. DIGITAL COURSE, CERTIFICATION, AND PROGRAM REFUND ELIGIBILITY

Refund requests for digital courses, certifications, educational programs, or digital educational offerings may only be considered where ALL of the following conditions are satisfied:

  1. the refund request is submitted within forty-eight (48) hours of the original purchase;

  2. less than ten percent (10%) of the total course, certification, program, or specialization content has been accessed, streamed, viewed, completed, downloaded, consumed, or materially utilized;

  3. no certificate, designation, badge, credential, specialization recognition, verification, or completion status has been issued;

  4. no assessments, assignments, evaluations, quizzes, or substantial participation activities have been completed;

  5. no substantial mentorship, enterprise, workshop, AI-enabled educational activity, or premium educational interaction has occurred.

This Section may also apply to specialization programs, designation pathways, advanced certificate pathways, premium educational offerings, or executive educational programs unless otherwise expressly stated in writing.

ALL conditions must be satisfied for a refund request to be considered.

Refund eligibility shall be determined solely by AX Institute based on:

· platform records;
· analytics;
· access logs;
· enterprise records;
· AI-enabled system records;
· streaming data;
· download activity;
· system telemetry;
· operational records.

AX Institute reserves sole discretion in evaluating educational consumption, material access, credential activity, specialization activity, enterprise provisioning, and refund eligibility.

 

4. DIGITAL ACCESS, DOWNLOADS, AND CONTENT CONSUMPTION

Users acknowledge that digital educational content and Services may become immediately accessible upon purchase, enrollment, subscription activation, enterprise provisioning, account creation, or educational onboarding.

Once substantial access, activation, or consumption occurs, the educational service may be considered partially or materially delivered.

Content consumption or access may include:

· streaming or viewing educational videos;
· downloading educational resources;
· accessing premium materials;
· activating subscriptions;
· completing assessments;
· participating in educational activities;
· repeated or substantial Platform access;
· enterprise provisioning;
· mentorship scheduling;
· AI-enabled educational interactions;
· educational personalization activation;
· workshop registration or scheduling;
· specialization access or activation.

Downloaded, cached, streamed, stored, or accessed educational materials remain subject to intellectual property, licensing, access, and usage restrictions notwithstanding local storage, temporary download, or offline access.

 

5. SUBSCRIPTIONS AND MEMBERSHIPS

Subscription services are governed by the AX Institute Subscription and Membership Policy.

Fast Track educational offerings, subscription-access educational libraries, recurring educational access programs, and certain certification-access models may be delivered through recurring subscription structures.

Unless otherwise required by applicable law:

· subscription fees are non-refundable once charged;
· cancellations prevent future renewals only;
· partial billing periods are non-refundable;
· unused subscription time is non-refundable;
· failure to use a subscription does not create refund entitlement;
· subscription access periods already commenced are considered partially delivered.

Temporary interruptions, maintenance events, cybersecurity incidents, AI-system limitations, third-party service disruptions, cloud-provider outages, localized access disruptions, enterprise restrictions, operational degradations, or partial unavailability may occur from time to time.

Minor, temporary, intermittent, scheduled, localized, or partial interruptions shall not constitute material failure of the Services.

Any refunds, credits, service accommodations, or remedies relating to temporary service interruptions or partial unavailability shall be determined by AX Institute in its reasonable discretion and may be provided on a prorated basis reflecting the affected portion of the applicable subscription term.

No temporary interruption, partial degradation, AI-system limitation, maintenance activity, third-party outage, or operational event shall automatically entitle users to refunds, credits, extensions, compensation, or subscription adjustments unless otherwise expressly determined by AX Institute.

Users remain solely responsible for cancelling subscriptions prior to renewal dates.

Subscription renewals, recurring billing authorizations, promotional conversions, and subscription usage remain subject to the Subscription and Membership Policy.

 

6. FREE TRIALS AND PROMOTIONAL OFFERS

Where free trials, promotional access periods, discounted subscriptions, introductory pricing offers, enterprise promotions, or temporary educational access programs are provided:

· subscriptions may automatically convert into paid subscriptions at the end of the promotional period;
· users remain responsible for cancelling before renewal if they do not wish to continue;
· promotional pricing, discounts, or special offers may be non-refundable unless required by law.

AX Institute reserves the right to:

· modify;
· limit;
· suspend;
· revoke;
· terminate;

promotional offers, free trials, discounts, enterprise promotions, educational incentives, or promotional eligibility at any time.

 

7. NON-REFUNDABLE CIRCUMSTANCES

Refunds will generally not be granted where any of the following has occurred:

· more than ten percent (10%) of content has been accessed;
· assessments, assignments, or evaluations have been submitted;
· certificates, badges, credentials, designations, specialization recognitions, or verification statuses have been issued;
· mentorship sessions have been attended, scheduled, prepared for, or substantially arranged;
· workshop participation has occurred;
· educational resources have been substantially downloaded, streamed, consumed, or utilized;
· subscriptions have renewed;
· enterprise licenses, seats, or organizational access have been provisioned;
· AI-enabled educational tools have been materially utilized;
· enterprise onboarding has commenced;
· specialization access or activation has occurred;
· account abuse or policy violations have occurred;
· chargeback abuse or fraudulent conduct is suspected;
· unauthorized sharing or intellectual property misuse has occurred.

AX Institute reserves sole discretion in evaluating substantial usage, material educational delivery, enterprise provisioning, educational consumption, AI-enabled educational usage, specialization activity, and refund eligibility.

 

8. MENTORSHIP SERVICES

Mentorship services involve reserved instructor, mentor, facilitator, advisor, educational resource allocation, scheduling coordination, and enterprise operational commitments.

Users may cancel or reschedule mentorship sessions provided written notice is submitted at least twenty-four (24) hours prior to the scheduled session.

Where cancellation occurs less than twenty-four (24) hours prior to the session:

· the session may be deemed consumed;
· refunds may be denied;
· rescheduling may not be permitted;
· credits may be denied.

Failure to attend a scheduled mentorship session without notice may result in forfeiture of the session without refund.

AX Institute reserves the right to:

· modify mentor assignments;
· substitute facilitators;
· reschedule mentorship sessions;
· modify mentorship formats;
· transition mentorship delivery methods;
· modify mentorship technologies;
· modify mentorship scheduling methodologies;
· transition mentorship delivery between digital, hybrid, asynchronous, or live formats;

where operationally, educationally, technologically, institutionally, or enterprise-wise necessary.

 

9. EXECUTIVE WORKSHOPS, LIVE EVENTS, AND COHORT PROGRAMS

Executive workshops, cohort programs, enterprise learning sessions, workforce capability programs, leadership development workshops, organizational capability sessions, executive capability development cohorts, and live educational events may involve:

· limited seating;
· scheduling commitments;
· enterprise coordination;
· instructor reservations;
· venue costs;
· operational preparation;
· educational staffing;
· technology provisioning.

Users may cancel workshop or cohort registrations by providing written notice at least seventy-two (72) hours prior to the scheduled session.

Where cancellation occurs less than seventy-two (72) hours prior:

· refunds may be denied;
· registrations may become non-refundable;
· credits may be limited or denied.

AX Institute may, at its sole discretion:

· permit rescheduling;
· issue credits;
· allow transfer to future sessions;
· substitute instructors;
· modify workshop formats;
· modify delivery methods;
· transition workshops to digital formats;
· combine or restructure cohort sessions.

Where AX Institute cancels a workshop, cohort, or educational session prior to delivery, participants may be offered:

· a refund;
· a credit;
· transfer to a future session;
· equivalent educational access.

 

10. ENTERPRISE, ORGANIZATIONAL, AND TEAM PURCHASES

Enterprise, institutional, governmental, organizational, or team-based purchases may be governed by separate contractual arrangements.

Unless otherwise agreed in writing:

· enterprise purchases are non-refundable once provisioning, onboarding, implementation, configuration, enterprise administration, or organizational access has commenced;
· purchased seats, licenses, or enterprise access rights may be non-transferable;
· enterprise licenses may be limited to designated named users unless otherwise expressly agreed in writing;
· organizational non-use does not create refund entitlement;
· enterprise onboarding activities may constitute partial delivery.

AX Institute reserves sole discretion in determining refund eligibility for enterprise transactions, organizational purchases, cohort programs, enterprise subscriptions, enterprise certifications, specialization access, or enterprise learning arrangements.

 

11. REFUND REVIEW, VERIFICATION, AND PLATFORM RECORDS

AX Institute reserves the right to review:

· Platform usage records;
· course analytics;
· login history;
· streaming activity;
· download activity;
· AI-enabled system records;
· mentorship participation;
· enterprise usage analytics;
· assessment activity;
· subscription activity;
· transaction records;
· system telemetry;
· educational engagement records;

when evaluating refund requests.

Platform analytics, enterprise records, AI-enabled system records, system telemetry, authentication logs, operational records, and system data maintained by AX Institute may constitute evidence of usage, access, educational delivery, subscription activation, enterprise provisioning, specialization access, or content consumption.

Refund requests may be denied where records indicate substantial engagement, activation, provisioning, educational consumption, credential activity, specialization activity, enterprise access, or use of Services.

 

12. CHARGEBACKS AND PAYMENT DISPUTES

Users agree to contact AX Institute before initiating chargebacks, payment reversals, banking disputes, or payment processor disputes.

Where a chargeback, payment reversal, dispute, or unauthorized payment claim is initiated, AX Institute reserves the right to:

· suspend or terminate Platform access;
· revoke certificates, badges, credentials, designations, or specialization recognitions;
· disable subscriptions;
· revoke enterprise access;
· recover outstanding fees;
· dispute the chargeback with payment providers;
· provide transaction records, access logs, analytics, enterprise records, AI-enabled system records, usage data, operational records, and policy acknowledgements as evidence;
· restrict future purchases;
· refer outstanding balances for collection where permitted by law.

Fraudulent, abusive, excessive, or bad-faith chargebacks may result in permanent suspension from the Platform.

 

13. FRAUD, ABUSE, AND POLICY VIOLATIONS

AX Institute reserves the right to deny refunds where:

· fraudulent conduct is suspected;
· policy abuse occurs;
· excessive refund requests are submitted;
· account sharing occurs;
· unauthorized use of educational content occurs;
· intellectual property misuse occurs;
· enterprise misuse occurs;
· subscription abuse occurs;
· credential abuse occurs;
· AI-enabled system abuse occurs;
· platform manipulation occurs.

Refund abuse or policy violations may result in:

· account suspension;
· credential revocation;
· subscription termination;
· enterprise restrictions;
· legal action;
· collection activity;
· restriction from future purchases.

 

14. NO GUARANTEES AND NO RELIANCE

AX Institute educational offerings are provided for professional development, executive education, organizational learning, workforce capability development, leadership development, AI capability enablement, and educational purposes only.

AX Institute does not guarantee:

· employment outcomes;
· promotions;
· income generation;
· business success;
· investment performance;
· licensing recognition;
· accreditation recognition;
· regulatory recognition;
· professional advancement;
· enterprise transformation outcomes;
· organizational performance improvements;
· workforce capability transformation outcomes;
· leadership capability outcomes;
· AI readiness outcomes.

Users remain solely responsible for evaluating the suitability, applicability, implementation, and use of educational materials, mentorship guidance, AI-enabled educational tools, enterprise learning programs, specialization programs, or educational recommendations.

Dissatisfaction with educational outcomes, enterprise outcomes, mentorship experiences, organizational outcomes, business outcomes, workforce capability outcomes, or leadership outcomes alone does not create refund entitlement.

 

15. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, AX Institute, AX, and Active Patterns Inc. shall not be liable for:

· indirect damages;
· consequential damages;
· lost profits;
· lost business opportunities;
· lost educational opportunities;
· business interruption;
· enterprise disruption;
· educational reliance;
· platform interruptions;
· AI-enabled system interruptions;
· third-party payment processor failures;
· foreign exchange losses;
· banking fees;
· operational interruptions;
· data loss;
· cyber incidents;
· enterprise reporting interruptions.

Maximum aggregate liability relating to refunds, transactions, educational services, subscriptions, enterprise arrangements, specialization programs, or purchases shall not exceed the lesser of:

 

· the amount actually paid for the applicable Service during the preceding twelve (12) months; or

· CAD $500.

Certain jurisdictions may not permit certain limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable law.

 

16. GOVERNING LAW AND DISPUTE RESOLUTION

This Policy shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

To the maximum extent permitted by applicable law, disputes relating to this Policy shall be resolved solely on an individual basis and not through class, collective, coordinated, representative, consolidated, or mass proceedings.

Users expressly waive any right to participate in class actions, coordinated proceedings, representative proceedings, collective proceedings, consolidated proceedings, or mass proceedings to the maximum extent permitted by applicable law.

 

17. ASSIGNMENT

This Policy may be assigned, transferred, delegated, subcontracted, novated, or otherwise transferred by AX Institute in connection with mergers, acquisitions, restructurings, financing arrangements, reorganizations, enterprise restructurings, transfers of operations, or transfers of business operations or assets.

 

18. CHANGES TO THIS POLICY

AX Institute reserves the right to modify, amend, replace, supplement, discontinue, or update this Policy at any time to reflect:

· legal developments;
· operational requirements;
· Platform changes;
· subscription changes;
· educational service updates;
· enterprise operational requirements;
· AI-enabled technology developments;
· cybersecurity developments;
· specialization program developments;
· evolving enterprise educational practices.

Updated versions become effective upon posting unless otherwise required by applicable law.

Continued use of the Platform or Services following updates constitutes acceptance of the revised Policy.
