AX INSTITUTE DIGITAL PRODUCT POLICY

This Digital Product Policy (“Policy”) governs access to, licensing of, delivery of, use of, participation in, interaction with, and operational administration of digital educational products, educational content, enterprise educational materials, AI-enabled educational systems, subscriptions, learning resources, credential-related materials, enterprise-learning resources, educational recordings, operational educational systems, and related Services provided through the AX Institute platform located at www.axinstitute.online (the “Platform”).

The Platform is operated by Active Patterns Inc., operating under the brands AX Institute and AX (“AX Institute”, “AX”, “Institute”, “we”, “our”, or “us”).

This Policy forms part of the AX Institute governance framework and shall be read together with the:

  • Website Terms of Use;

  • Checkout Terms and Conditions;

  • Subscription and Membership Policy;

  • Refund Policy;

  • Acceptable Use Policy and Platform Security Policy;

  • Enterprise Services Agreement and Organizational Terms;

  • Certificate and Credential Usage Policy;

  • Privacy Policy;

  • applicable Terms and Conditions.

This Policy applies to:

  • learners;

  • subscribers;

  • enterprise clients;

  • enterprise learners;

  • instructors;

  • mentors;

  • facilitators;

  • contributors;

  • enterprise administrators;

  • organizational representatives;

  • authorized users;

  • purchasers;

  • participants accessing Digital Content or Services.

By purchasing, accessing, enrolling in, downloading, streaming, subscribing to, participating in, or otherwise using Digital Content or Services, users acknowledge and agree to comply with this Policy.

Nothing in this Policy creates fiduciary, advisory, agency, employment, outsourcing, partnership, accreditation, ownership, professional-client, guaranteed educational outcome, or guaranteed business outcome relationships between users and AX Institute.

AX Institute does not guarantee uninterrupted availability of Digital Content, enterprise systems, educational systems, AI-enabled systems, subscription systems, credential systems, integrations, operational technologies, cloud infrastructure, third-party providers, or related operational infrastructure.

 

1. DIGITAL PRODUCTS, EDUCATIONAL CONTENT, AND SERVICES

AX Institute may provide educational products, enterprise educational resources, digital educational systems, and Services including, without limitation:

  • online courses;

  • executive education programs;

  • professional certifications;

  • professional designations;

  • continuing education programs;

  • microlearning content;

  • educational recordings;

  • video lectures;

  • workshops and workshop recordings;

  • mentorship materials;

  • enterprise-learning resources;

  • enterprise educational systems;

  • educational templates;

  • downloadable educational resources;

  • assessments and exercises;

  • simulations and case studies;

  • AI-enabled educational tools;

  • educational frameworks and methodologies;

  • enterprise educational dashboards;

  • research materials;

  • digital educational memberships;

  • educational software;

  • learning systems;

  • credential systems;

  • enterprise educational programs;

  • organizational capability-development resources.

These materials, systems, technologies, educational structures, and Services are collectively referred to as “Digital Content.”

Digital Content may include content:

  • owned by AX Institute;

  • licensed from instructors or contributors;

  • developed collaboratively with enterprise clients or educational partners;

  • generated or supported through AI-enabled systems;

  • modified operationally over time.

Digital Content, educational methodologies, enterprise educational systems, credential structures, AI-enabled educational systems, operational educational methodologies, and delivery structures may evolve over time.

AX Institute reserves sole discretion regarding:

  • educational structures;

  • enterprise educational methodologies;

  • Digital Content delivery methodologies;

  • AI-enabled educational methodologies;

  • operational educational governance practices;

  • credential structures;

  • instructor participation;

  • educational sequencing;

  • enterprise-learning structures;

  • Digital Content availability.

 

2. LICENSED ACCESS — NOT A SALE

All Digital Content is licensed and not sold.

Upon authorized purchase, enrollment, subscription, or enterprise authorization, users receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access Digital Content solely for:

  • personal educational purposes;

  • authorized professional development;

  • enterprise educational participation where expressly permitted;

  • internal organizational learning where expressly authorized.

Users acquire no ownership rights in:

  • Digital Content;

  • educational methodologies;

  • enterprise educational systems;

  • AI-enabled systems;

  • credential systems;

  • enterprise reporting systems;

  • educational structures;

  • simulations;

  • frameworks;

  • operational systems;

  • Platform technologies;

  • educational architectures;

  • enterprise-learning structures;

  • Digital Content metadata;

  • translated or reformatted content;

  • derivative educational structures.

All rights not expressly granted remain reserved by AX Institute and applicable licensors.

AX Institute reserves sole discretion regarding access methodologies, licensing structures, enterprise educational licensing arrangements, credential access structures, AI-enabled educational systems, and Digital Content governance methodologies.

 

3. PLATFORM-BASED DELIVERY AND OPERATIONAL ACCESS

Digital Content is generally delivered through:

  • the Platform;

  • enterprise educational systems;

  • AI-enabled educational systems;

  • integrated educational technologies;

  • enterprise dashboards;

  • authorized educational providers;

  • operational educational systems;

  • subscription systems;

  • credential systems;

  • integrated third-party systems.

Access rights may vary depending upon:

  • subscription tier;

  • enterprise arrangements;

  • credential eligibility;

  • educational-access periods;

  • enterprise licensing structures;

  • organizational arrangements;

  • promotional arrangements;

  • operational requirements;

  • prerequisite completion;

  • compliance with applicable policies.

Certain Digital Content may require:

  • active subscriptions;

  • active payment status;

  • identity verification;

  • enterprise authorization;

  • compliance with operational governance requirements;

  • compliance with educational-integrity requirements;

  • compliance with credential-governance requirements.

AX Institute reserves the right to:

  • modify access methodologies;

  • update delivery systems;

  • revise operational educational systems;

  • migrate content;

  • archive or discontinue content;

  • revise educational structures;

  • modify instructors or mentors;

  • revise enterprise-learning structures;

  • revise AI-enabled educational methodologies;

  • implement operational restrictions;

  • revise platform technologies.

 

4. TEMPORARY, SUBSCRIPTION-BASED, AND ENTERPRISE ACCESS

Certain Digital Content may remain accessible only during:

  • active subscription periods;

  • active memberships;

  • active enterprise arrangements;

  • authorized enrollment periods;

  • enterprise licensing periods;

  • promotional-access periods;

  • organizational authorization periods.

Expiration, cancellation, suspension, non-renewal, enterprise termination, payment disputes, credential restrictions, enterprise restrictions, or operational enforcement activities may result in loss of access to Digital Content.

AX Institute does not guarantee perpetual, lifetime, uninterrupted, transferable, or continuing access to Digital Content unless expressly stated otherwise in writing.

AX Institute reserves sole discretion regarding access-retention methodologies, subscription-governance methodologies, enterprise educational-access governance, Digital Content retention methodologies, and enterprise operational restrictions.

 

5. DOWNLOADS, OFFLINE ACCESS, AND DIGITAL RIGHTS MANAGEMENT

Where downloads, offline access, enterprise educational exports, or temporary storage are permitted, users may access Digital Content solely for authorized educational purposes consistent with this Policy.

Users shall not:

  • redistribute downloaded materials;

  • upload Digital Content to external systems;

  • share downloaded resources improperly;

  • create unauthorized copies;

  • commercially exploit downloaded content;

  • create enterprise content libraries improperly;

  • facilitate unauthorized enterprise redistribution;

  • bypass technical protections;

  • interfere with Digital Rights Management technologies;

  • alter Digital Content metadata;

  • remove copyright notices or proprietary markings.

Offline-access permissions may be revoked, modified, restricted, or suspended at any time where operationally appropriate.

AX Institute reserves the right to implement:

  • Digital Rights Management technologies;

  • watermarking technologies;

  • access-control systems;

  • AI-enabled operational protections;

  • enterprise governance controls;

  • operational monitoring systems;

  • anti-piracy protections;

  • automated operational restrictions.

 

6. PROHIBITED USES

Users shall not:

  • reproduce Digital Content improperly;

  • distribute Digital Content improperly;

  • publicly transmit Digital Content improperly;

  • record or screen-capture educational materials without authorization;

  • share subscription access improperly;

  • share login credentials improperly;

  • upload Digital Content to third-party systems;

  • create competing educational products using Digital Content;

  • commercially exploit Digital Content improperly;

  • sublicense educational access;

  • create unauthorized enterprise educational systems;

  • facilitate unauthorized enterprise-learning environments;

  • bypass operational restrictions;

  • circumvent enterprise-access controls;

  • manipulate credential systems;

  • manipulate educational systems;

  • interfere with AI-enabled educational systems;

  • misuse enterprise educational arrangements;

  • use Digital Content for unauthorized enterprise training.

Unauthorized use constitutes material breach of AX Institute governance requirements and may result in:

  • suspension or termination;

  • credential revocation;

  • enterprise restrictions;

  • legal proceedings;

  • injunctive relief;

  • operational enforcement measures;

  • recovery of damages;

  • recovery of enforcement costs;

  • enterprise escalation activities.

AX Institute reserves sole discretion regarding operational enforcement methodologies, educational-governance methodologies, credential-governance actions, enterprise operational restrictions, and Digital Content protection methodologies.

 

7. AI, AUTOMATION, MODEL TRAINING, AND DIGITAL REPLICATION RESTRICTIONS

Users shall not use Digital Content, educational systems, enterprise educational systems, operational systems, AI-enabled systems, educational methodologies, frameworks, simulations, assessments, recordings, enterprise-learning structures, or related materials for:

  • artificial intelligence training;

  • machine learning model training;

  • large language model ingestion;

  • embeddings or vector databases;

  • retrieval-augmented generation systems;

  • model replication;

  • model distillation;

  • synthetic dataset creation;

  • prompt harvesting;

  • automated summarization systems;

  • AI-assisted educational replication;

  • automated educational generation systems;

  • automated enterprise educational replication;

  • educational dataset generation;

  • AI fine-tuning;

  • unauthorized educational-model development.

Users shall not deploy, utilize, or facilitate:

  • bots;

  • scraping systems;

  • browser automation systems;

  • automated extraction technologies;

  • robotic process automation tools;

  • automated monitoring systems;

  • automated educational extraction systems;

  • AI agents;

  • data-mining systems;

  • automated credential extraction systems;

  • unauthorized enterprise automation systems.

Unauthorized AI-related activities, automation activities, model-training activities, or extraction activities may result in:

  • immediate suspension;

  • enterprise restrictions;

  • credential revocation;

  • technological blocking measures;

  • permanent Platform bans;

  • enterprise escalation;

  • legal proceedings;

  • injunctive relief;

  • operational enforcement activities.

AX Institute reserves the right to implement technological protections, AI-enabled protections, operational restrictions, automated protections, watermarking systems, anti-scraping technologies, anti-automation controls, enterprise operational controls, or Digital Content protection systems reasonably necessary to protect Digital Content or Platform integrity.

 

8. INSTRUCTOR, MENTOR, CONTRIBUTOR, AND PARTNER CONTENT

Certain Digital Content may include materials created, licensed, developed, co-developed, or contributed by:

  • instructors;

  • mentors;

  • facilitators;

  • subject-matter experts;

  • contributors;

  • enterprise collaborators;

  • educational partners;

  • third-party providers.

Such content may remain subject to licensing arrangements, operational governance arrangements, enterprise arrangements, or intellectual-property frameworks involving AX Institute and applicable contributors.

Users acquire no ownership rights in contributor content through Platform access.

AX Institute retains rights relating to:

  • educational packaging;

  • curriculum architecture;

  • enterprise educational structures;

  • learning sequencing;

  • microlearning conversions;

  • derivative educational formats;

  • translated versions;

  • reformatted versions;

  • AI-assisted educational transformations;

  • enterprise educational adaptations;

  • Platform delivery systems;

  • operational educational systems;

  • credential structures;

  • educational metadata.

AX Institute reserves sole discretion regarding contributor participation, instructor substitutions, enterprise educational modifications, Digital Content modifications, AI-assisted educational transformations, and enterprise-learning governance methodologies.

 

9. ENTERPRISE, ORGANIZATIONAL, AND TEAM ACCESS

Enterprise access, organizational educational access, workforce-development access, organizational subscriptions, enterprise-learning arrangements, and enterprise educational systems may remain subject to:

  • enterprise agreements;

  • enterprise onboarding arrangements;

  • Statements of Work;

  • enterprise licensing restrictions;

  • organizational governance requirements;

  • enterprise operational controls.

Organizations shall not:

  • exceed authorized seat limits;

  • redistribute credentials improperly;

  • create unauthorized internal educational libraries;

  • facilitate unauthorized enterprise educational redistribution;

  • sublicense Digital Content externally;

  • facilitate unauthorized enterprise AI training activities;

  • create competing educational repositories using AX Institute materials.

AX Institute reserves the right to audit, investigate, monitor, restrict, suspend, or terminate enterprise educational access where enterprise misuse, unauthorized redistribution, operational abuse, credential misuse, unauthorized automation, or policy violations are suspected.

 

10. PLATFORM MODIFICATIONS, CONTENT EVOLUTION, AND OPERATIONAL FLEXIBILITY

AX Institute reserves the right to:

  • modify Digital Content;

  • revise educational materials;

  • update learning systems;

  • replace instructors or mentors;

  • revise enterprise educational structures;

  • revise AI-enabled educational systems;

  • archive educational materials;

  • discontinue programs;

  • revise credential structures;

  • modify educational methodologies;

  • revise technical requirements;

  • revise Platform technologies;

  • evolve Digital Content operationally.

Digital Content may evolve over time due to:

  • educational developments;

  • AI developments;

  • technological developments;

  • enterprise operational developments;

  • governance developments;

  • credential-governance developments;

  • instructional updates;

  • operational continuity requirements.

AX Institute does not guarantee continuous availability of any specific:

  • instructor;

  • mentor;

  • workshop;

  • certification;

  • designation;

  • Digital Content component;

  • subscription feature;

  • enterprise educational system;

  • AI-enabled educational system;

  • operational educational technology.

 

11. INTELLECTUAL PROPERTY RIGHTS

All Digital Content is protected by:

  • copyright laws;

  • trademark laws;

  • trade-secret protections;

  • contractual rights;

  • intellectual-property laws;

  • international treaty protections;

  • enterprise-governance protections.

“AX”, “AX Institute”, Platform systems, educational methodologies, enterprise educational systems, AI-enabled educational systems, educational frameworks, credential systems, enterprise educational structures, branding elements, and operational educational systems remain proprietary assets of Active Patterns Inc. and applicable licensors.

Unauthorized use may result in:

  • suspension or termination;

  • credential revocation;

  • enterprise restrictions;

  • legal proceedings;

  • injunctive relief;

  • operational enforcement measures;

  • enterprise escalation;

  • recovery of damages and enforcement costs.

 

12. MONITORING, TELEMETRY, INVESTIGATIONS, AND OPERATIONAL ENFORCEMENT

AX Institute reserves the right to:

  • monitor Platform usage;

  • monitor Digital Content access;

  • investigate suspicious activity;

  • review enterprise educational activity;

  • preserve operational records;

  • preserve access logs;

  • preserve enterprise operational records;

  • implement technical protections;

  • implement AI-enabled monitoring systems;

  • implement anti-piracy protections;

  • investigate unauthorized redistribution;

  • investigate credential misuse;

  • investigate enterprise misuse;

  • cooperate with legal authorities;

  • cooperate with enterprise administrators.

Monitoring activities may involve:

  • Platform analytics;

  • authentication logs;

  • access metadata;

  • operational telemetry;

  • AI-enabled operational systems;

  • credential activity;

  • enterprise educational systems;

  • subscription systems;

  • Digital Rights Management systems;

  • operational governance systems.

Operational logs, access records, authentication systems, telemetry systems, enterprise records, and operational metadata may constitute operational evidence for governance, enforcement, cybersecurity, enterprise administration, educational integrity, or dispute-resolution purposes.

 

13. DISCLAIMER OF WARRANTIES

Digital Content, enterprise educational systems, educational resources, credential systems, enterprise-learning systems, AI-enabled educational systems, and Services are provided on an “as is” and “as available” basis.

AX Institute does not guarantee:

  • uninterrupted access;

  • compatibility with all systems or devices;

  • uninterrupted Digital Content availability;

  • educational outcomes;

  • professional outcomes;

  • enterprise outcomes;

  • uninterrupted AI-system operation;

  • uninterrupted enterprise-system availability;

  • uninterrupted credential-system functionality;

  • error-free operation;

  • uninterrupted operational continuity.

Operational interruptions, enterprise interruptions, AI-enabled system interruptions, third-party outages, infrastructure disruptions, credential interruptions, educational interruptions, or cybersecurity incidents may occur.

 

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, AX Institute, Active Patterns Inc., affiliates, officers, directors, instructors, mentors, facilitators, contractors, licensors, enterprise providers, operational providers, and partners shall not be liable for:

  • indirect damages;

  • consequential damages;

  • lost profits;

  • lost business opportunities;

  • lost educational opportunities;

  • business interruption;

  • educational reliance;

  • enterprise disruptions;

  • subscription interruptions;

  • AI-enabled operational interruptions;

  • Digital Content interruptions;

  • credential interruptions;

  • third-party outages;

  • infrastructure disruptions;

  • cybersecurity incidents;

  • operational restrictions;

  • data loss.

Maximum aggregate liability relating to Digital Content, enterprise educational activities, educational systems, credential systems, subscriptions, AI-enabled systems, or Services shall not exceed the amount paid by the applicable user during the preceding twelve (12) months.

Certain jurisdictions may not permit certain limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable law.

 

15. GOVERNING LAW AND DISPUTE RESOLUTION

This Policy shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

To the maximum extent permitted by applicable law, disputes relating to this Policy shall first be addressed through good-faith negotiations.

Disputes not resolved through good-faith negotiations may be submitted to binding arbitration in Ontario, Canada in accordance with the Arbitration Act, 1991 (Ontario).

Nothing restricts AX Institute from seeking injunctive relief, equitable relief, operational protections, enterprise protections, intellectual-property protections, credential-governance protections, cybersecurity remedies, or fraud-related remedies through courts of competent jurisdiction.

To the maximum extent permitted by applicable law, disputes shall be resolved solely on an individual basis and not through class, collective, representative, coordinated, consolidated, or mass proceedings.

Users expressly waive any right to participate in class actions, coordinated proceedings, representative proceedings, collective proceedings, consolidated proceedings, or mass proceedings to the maximum extent permitted by applicable law.

 

16. CHANGES TO THIS POLICY

AX Institute reserves the right to modify, amend, replace, supplement, discontinue, or update this Policy at any time to reflect:

  • operational developments;

  • technological developments;

  • AI developments;

  • enterprise operational developments;

  • educational developments;

  • legal developments;

  • credential-governance developments;

  • Platform developments;

  • Digital Content operational developments.

Updated versions become effective upon posting unless otherwise required by applicable law.

Continued use of Digital Content following updates constitutes acceptance of revised terms.

 

17. ASSIGNMENT

This Policy may be assigned, transferred, delegated, subcontracted, novated, or otherwise transferred by AX Institute in connection with mergers, acquisitions, restructurings, financing arrangements, reorganizations, enterprise restructurings, transfers of operations, or transfers of business operations or assets.
