These materials, systems, technologies, educational structures, and Services are collectively referred to as “Digital Content.”

All Digital Content is licensed and not sold.
Upon authorized purchase, enrollment, subscription, or enterprise authorization, users receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access Digital Content solely for:

AX Institute does not guarantee perpetual, lifetime, uninterrupted, transferable, or continuing access to Digital Content unless expressly stated otherwise in writing.
AX Institute reserves sole discretion regarding access-retention methodologies, subscription-governance methodologies, enterprise educational-access governance, Digital Content retention methodologies, and enterprise operational restrictions.
5. DOWNLOADS, OFFLINE ACCESS, AND DIGITAL RIGHTS MANAGEMENT
Where downloads, offline access, enterprise educational exports, or temporary storage are permitted, users may access Digital Content solely for authorized educational purposes consistent with this Policy.
Users shall not:

Users shall not:

share login credentials improperly;
-

facilitate unauthorized enterprise-learning environments;

bypass operational restrictions;

interfere with AI-enabled educational systems;

use Digital Content for unauthorized enterprise training.
Unauthorized use constitutes material breach of AX Institute governance requirements and may result in:

enterprise restrictions;

legal proceedings;
-
injunctive relief;
-
operational enforcement measures;

recovery of damages;
-
recovery of enforcement costs;
-
enterprise escalation activities.
AX Institute reserves sole discretion regarding operational enforcement methodologies, educational-governance methodologies, credential-governance actions, enterprise operational restrictions, and Digital Content protection methodologies.
7. AI, AUTOMATION, MODEL TRAINING, AND DIGITAL REPLICATION RESTRICTIONS
Users shall not use Digital Content, educational systems, enterprise educational systems, operational systems, AI-enabled systems, educational methodologies, frameworks, simulations, assessments, recordings, enterprise-learning structures, or related materials for:

artificial intelligence training;

machine learning model training;
-
large language model ingestion;
-
embeddings or vector databases;
-
retrieval-augmented generation systems;
-
model replication;
-
model distillation;
-
synthetic dataset creation;
-
prompt harvesting;

AI fine-tuning;

unauthorized educational-model development.
Users shall not deploy, utilize, or facilitate:

scraping systems;
-
browser automation systems;
-
automated extraction technologies;
-
robotic process automation tools;
-
automated monitoring systems;
-
automated educational extraction systems;
-
AI agents;
-
data-mining systems;
-
automated credential extraction systems;
-
unauthorized enterprise automation systems.
Unauthorized AI-related activities, automation activities, model-training activities, or extraction activities may result in:

immediate suspension;
-
enterprise restrictions;
-
credential revocation;
-
technological blocking measures;
-
permanent Platform bans;
-
enterprise escalation;
-
legal proceedings;
-
injunctive relief;
-
operational enforcement activities.
AX Institute reserves the right to implement technological protections, AI-enabled protections, operational restrictions, automated protections, watermarking systems, anti-scraping technologies, anti-automation controls, enterprise operational controls, or Digital Content protection systems reasonably necessary to protect Digital Content or Platform integrity.
8. INSTRUCTOR, MENTOR, CONTRIBUTOR, AND PARTNER CONTENT
Certain Digital Content may include materials created, licensed, developed, co-developed, or contributed by:

instructors;

mentors;
-
facilitators;
-
subject-matter experts;
-
contributors;
-
enterprise collaborators;
-
educational partners;
-
third-party providers.
Such content may remain subject to licensing arrangements, operational governance arrangements, enterprise arrangements, or intellectual-property frameworks involving AX Institute and applicable contributors.
Users acquire no ownership rights in contributor content through Platform access.

AX Institute reserves sole discretion regarding contributor participation, instructor substitutions, enterprise educational modifications, Digital Content modifications, AI-assisted educational transformations, and enterprise-learning governance methodologies.
9. ENTERPRISE, ORGANIZATIONAL, AND TEAM ACCESS
Enterprise access, organizational educational access, workforce-development access, organizational subscriptions, enterprise-learning arrangements, and enterprise educational systems may remain subject to:

enterprise agreements;

enterprise onboarding arrangements;

Statements of Work;
-
enterprise licensing restrictions;
-
organizational governance requirements;
-
enterprise operational controls.
Organizations shall not:

exceed authorized seat limits;

redistribute credentials improperly;

create unauthorized internal educational libraries;

facilitate unauthorized enterprise educational redistribution;

sublicense Digital Content externally;
-
facilitate unauthorized enterprise AI training activities;
-
create competing educational repositories using AX Institute materials.
AX Institute reserves the right to audit, investigate, monitor, restrict, suspend, or terminate enterprise educational access where enterprise misuse, unauthorized redistribution, operational abuse, credential misuse, unauthorized automation, or policy violations are suspected.
10. PLATFORM MODIFICATIONS, CONTENT EVOLUTION, AND OPERATIONAL FLEXIBILITY
AX Institute reserves the right to:

AX Institute does not guarantee continuous availability of any specific:

AI-enabled educational system;
-
operational educational technology.
11. INTELLECTUAL PROPERTY RIGHTS
All Digital Content is protected by:

“AX”, “AX Institute”, Platform systems, educational methodologies, enterprise educational systems, AI-enabled educational systems, educational frameworks, credential systems, enterprise educational structures, branding elements, and operational educational systems remain proprietary assets of Active Patterns Inc. and applicable licensors.
Unauthorized use may result in:

enterprise restrictions;

legal proceedings;
-
injunctive relief;
-
operational enforcement measures;
-
enterprise escalation;
-
recovery of damages and enforcement costs.
12. MONITORING, TELEMETRY, INVESTIGATIONS, AND OPERATIONAL ENFORCEMENT
AX Institute reserves the right to:

monitor Digital Content access;

investigate suspicious activity;
-
review enterprise educational activity;
-
preserve operational records;
-
preserve access logs;
-
preserve enterprise operational records;

implement technical protections;

investigate unauthorized redistribution;

Operational logs, access records, authentication systems, telemetry systems, enterprise records, and operational metadata may constitute operational evidence for governance, enforcement, cybersecurity, enterprise administration, educational integrity, or dispute-resolution purposes.
13. DISCLAIMER OF WARRANTIES
Digital Content, enterprise educational systems, educational resources, credential systems, enterprise-learning systems, AI-enabled educational systems, and Services are provided on an “as is” and “as available” basis.
AX Institute does not guarantee:

uninterrupted access;

compatibility with all systems or devices;
-
uninterrupted Digital Content availability;
-
educational outcomes;
-
professional outcomes;
-
enterprise outcomes;
-
uninterrupted AI-system operation;
-
uninterrupted enterprise-system availability;
-
uninterrupted credential-system functionality;
-
error-free operation;
-
uninterrupted operational continuity.
Operational interruptions, enterprise interruptions, AI-enabled system interruptions, third-party outages, infrastructure disruptions, credential interruptions, educational interruptions, or cybersecurity incidents may occur.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, AX Institute, Active Patterns Inc., affiliates, officers, directors, instructors, mentors, facilitators, contractors, licensors, enterprise providers, operational providers, and partners shall not be liable for:

lost business opportunities;

business interruption;

cybersecurity incidents;

Maximum aggregate liability relating to Digital Content, enterprise educational activities, educational systems, credential systems, subscriptions, AI-enabled systems, or Services shall not exceed the amount paid by the applicable user during the preceding twelve (12) months.
Certain jurisdictions may not permit certain limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable law.
15. GOVERNING LAW AND DISPUTE RESOLUTION
This Policy shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
To the maximum extent permitted by applicable law, disputes relating to this Policy shall first be addressed through good-faith negotiations.
Disputes not resolved through good-faith negotiations may be submitted to binding arbitration in Ontario, Canada in accordance with the Arbitration Act, 1991 (Ontario).
Nothing restricts AX Institute from seeking injunctive relief, equitable relief, operational protections, enterprise protections, intellectual-property protections, credential-governance protections, cybersecurity remedies, or fraud-related remedies through courts of competent jurisdiction.
To the maximum extent permitted by applicable law, disputes shall be resolved solely on an individual basis and not through class, collective, representative, coordinated, consolidated, or mass proceedings.
Users expressly waive any right to participate in class actions, coordinated proceedings, representative proceedings, collective proceedings, consolidated proceedings, or mass proceedings to the maximum extent permitted by applicable law.
16. CHANGES TO THIS POLICY
AX Institute reserves the right to modify, amend, replace, supplement, discontinue, or update this Policy at any time to reflect:

17. ASSIGNMENT
This Policy may be assigned, transferred, delegated, subcontracted, novated, or otherwise transferred by AX Institute in connection with mergers, acquisitions, restructurings, financing arrangements, reorganizations, enterprise restructurings, transfers of operations, or transfers of business operations or assets.
